| Basis of preparing the financial statements |
| Going concern |
| The financial statements have been prepared on a going concern basis. For the year ended 31 May 2025, the Company incurred a loss and, at the balance sheet date, the Company’s liabilities exceeded its assets. |
| During the period, the Company acquired certain assets and assumed obligations from an entity purchased from an administrator. The assumption of these obligations has resulted in a short-term adverse impact on the Company’s net asset position. |
| The directors have prepared business plans and cash flow forecasts covering a period of at least twelve months from the date of approval of these financial statements. These forecasts reflect the directors’ expectations of improved trading performance following the integration of the acquired activities and the implementation of operational and cost management measures. On this basis, the directors expect the Company to return to profitability and to a positive net asset position. |
| The Company continues to benefit from the ongoing support of its principal creditors, who are aware of the Company’s financial position and have indicated their intention to continue to support the Company while the directors’ plans are implemented. |
| Whilst the above matters indicate that the Company is dependent on the successful execution of its business plans and the continued support of creditors, the directors are satisfied that the Company will be able to meet its liabilities as they fall due. Accordingly, they consider it appropriate to prepare the financial statements on the going concern basis. |
| The financial statements do not include any adjustments that would be required if the going concern basis were not appropriate. |

| Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. |

| Intangible assets |
| Intangible assets are initially measured at cost. After initial recognition, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses. |
| Tangible fixed assets |
| Tangible fixed assets are stated at cost less accumulated depreciation and any accumulated impairment losses. Cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management. |
| Depreciation if charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight line or reducing balance method or, if held under a finance lease, over the lease term, whichever is shorter. |

| Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date. |
| Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the period end and that are expected to apply to the reversal of the timing difference. |
