| Director's Loan Waiver |
| During the financial year, a director of the Company executed an irrevocable Deed of Waiver in respect of £60,000 standing to the credit of their Director's Loan Account. Under the terms of the Deed, the director permanently and unconditionally waived all rights to repayment of this amount and released the Company from any present or future obligation to repay it. |
| The Board of Directors formally accepted the waiver by resolution. As a consequence, the liability of £60,000 has been extinguished and derecognised from the Company's balance sheet. The director has no legal or equitable right to recover the waived amount, and no future obligation exists on the part of the Company in respect of this liability. |
| The transaction has been accounted for in accordance with the applicable UK accounting standards and relevant taxation legislation. |

| 4. | CHANGE IN FINANCIAL REPORTING FRAMEWORK |
| During the current financial year, the Company became eligible to apply the small entities regime and the micro-entities regime under the Companies Act 2006. Accordingly, the directors have elected to prepare the financial statements in accordance with Financial Reporting Standard 105 - The Financial Reporting Standard applicable to the Micro-entities Regime ("FRS 105"), having previously prepared the financial statements under FRS 102 Section 1A - Small Entities. |
| The comparative figures have been restated, where necessary, to reflect the presentation and disclosure requirements of FRS 105. The change in financial reporting framework has not resulted in any material change to the Company's reported financial position, financial performance or cash flows, other than changes to the presentation and disclosures required by the applicable accounting framework. |
| The directors consider that the adoption of FRS 105 is appropriate as the Company meets the qualifying conditions for the micro-entities regime and that the financial statements continue to present the information required by the applicable provisions of the Companies Act 2006. |
| The directors acknowledge their responsibilities for: |
| (a) | ensuring that the company keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 and |
| (b) | preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the company. |
