Principal activities of the company

The Company Trustees, who are the Directors for the purposes of the Companies Act, have pleasure in presenting their third Annual Report and Financial Statements, for the financial year ended 31st October 2025. LEGAL AND ADMINISTRATIVE DETAILS Governing Instrument The Company is constituted as a company limited by guarantee, not having a share capital and is governed by a Memorandum and Articles of Association. During the financial period covered by this report, The Garvey Village Enterprise’s Objects and legal structure were changed to that of a Community Interest Company (C.I.C.). Membership Membership is open to interested individuals interested in promoting the Objects of the Company and accepted into membership by the Trustees. Trustees/Directors The Company’s day-to-day work is delegated by the members, to a Board of Directors – who are also the Company’s Trustees, who are elected by, and report to, an Annual General Meeting [AGM], that receives an Annual Report and the Financial Statements [Accounts] of the organisation. One third of the Directors/Trustees stand down at each AGM, in rotation, by length of service, but are eligible for re-election. The Trustees meet as required to manage the business of the Company. Between AGMs the Trustees are responsible for overseeing the running of the Company - governed by both Company law/regulations and the C.I.C. Regulator - and for obtaining funding, running projects and allocating resources. Collectively, they are responsible for the overall management of the operations of the Company/C.I.C.. Objects of the Company The purpose and objects of the C.I.C., as agreed, are: to carry on activities which benefit the community and in particular to promote facilities that benefit African and Caribbean communities [i] establish and maintain a Community Centre for the following objects; [ii] provide business advice or consultancy, financial assistance & technical assistance to provide work, promotional and trading opportunities for community members; [iii] promote the education, training and personal development of young members of the community [iv] provide vocational education and training in (but not exclusively} cultural music and creative arts, media skills and cultural work, and trades such as construction; [v] provide community information and advice across a range of services; [vi] promote other traditional cultural practices. REVIEW OF THE YEAR Development The work of the group over the reporting year is as in the commentary sections of the accompanying form CIC34. THE FUTURE Post Balance sheet events The Directors continue to consider projects to enable The Garvey Village Enterprise C.I.C. to meet its objects, and will continue to develop partnerships and working relationships both with community organisations, and others, to help meet our aims and objectives. We look forward to continuing, and expanding, The Garvey Village Enterprise’s work in the period ahead. The work over the last year is referred to in the accompanying form CIC34. We continue to hold our Friday weekly online Garvey Village C.I.C. meetings, which have proven to be well-supported and successful, which the community locally and nationally look forward to. Marketing The Garvey Village Enterprise continues to promote its work, both via its facebook page: https://www.facebook.com/The-Garvey-Village-Social-101291931669319 and its website: https://thegarveyvillage.org/ Board There were no changes to the Directors during the year, but after the period covered by this report Cheryl Mcleod [known as Chez] stood down as a Director, having served since December 2020. We thank Chez for her years of service, including acting as an honorary officer of the CIC.

Additional information

RESERVES The balances at 31st October 2025 amounted to £3,780, including taking into account also the value of fixed assets in use [which were, for practical purposes, taken as zero] by the company, with an outstanding balance for the Reparations group of £1,955. The Directors seek to ensure that the level of reserves carried forward allows the work of The Garvey Village Enterprise C.I.C. to continue on an ongoing basis. FINANCIAL REVIEW During the year our main sources of funding and financial support was from members’ subscriptions, miscellaneous donations and fundraising via events that we organise. Income for the year increased from £9,565 (2024, £6,711) and Expenditure also increased from £8,325 (2024, £6,948) giving an excess of income over expenditure of £1,240. These figures include temporarily assisting, as part of our community support, a Reparations group, in processing their Income and Expenditure over the financial year: income £4,650 and expenditure £2,695. No grants were received in the period under review.
