Statutory information

That Bournemouth H2 Limited is a private company, limited by shares, registered in England and Wales. The company's registered number and registered office address can be found on the company information page. 

2.Accounting policies

 
2.1

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Section 1A of Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgement in applying the company's accounting policies.

The financial statements are prepared in sterling, which is the functional currency of the company.
Monetary amounts in these financial statements are rounded to the nearest pound.

The following principal accounting policies have been applied:

 
2.2

Going concern

The company has net liabilities at the year-end of £136,362 (2024: £121,486) and included within debtors are amounts owed by group companies which do not have liquid assets to repay the intercompany loans. However, those companies have confirmed support from the majority shareholder and director of the ultimate parent company which has been given for a period of at least twelve months from the date of approval of these financial statements. Furthermore, the company has confirmed its own support from the majority shareholder and director of the ultimate parent company which has been given for a period of at least twelve months from the date of approval of these financial statements. With this combined support, the directors consider it appropriate for the financial statements to be prepared on a going concern basis.

  
2.3

Group accounts

The financial statements contain information about That Bournemouth H2 Limited as an individual company and do not contain consolidated financial information as the parent of a group. The company is exempt under Section 400 of the Companies Act 2006 from the requirements to prepare consolidated financial statements as it and its subsidiary undertakings are included by full consolidation in the consolidated financial statements of its parent, That Bournemouth Company Limited, 18 Albert Road, Bournemouth, England, BH1 1BZ.

  
2.4

Investments in subsidiaries

Interests in subsidiaries are initially measured at cost and subsequently measured at cost less any accumulated impairment losses. The investments are assessed for impairment at each reporting date and any impairment losses or reversals of impairment losses are recognised immediately in the profit and loss account. 
A subsidiary is an entity controlled by the company. Control is the power to govern the financial and operating policies of the entity so as to obtain benefits from its activities.

Cash at bank and in hand

Cash at bank and in hand are basic financial assets and include cash in hand and deposits held at call with banks.

Financial instruments

The company has elected to apply the provisions of Section 11 'Basic Financial Instruments' and Section 12 'Other Financial Instruments Issues' of FRS 102 to all of its financial instruments.
Basic financial assets
Basic financial assets, which include debtors, balances due from connected companies and cash and bank balances, are initially measured at transaction price including transaction costs. Financial assets classified as receivable within one year are not amortised.
Basic financial liabilities
Basic financial liabilities, including creditors and loans from connected companies, are initially recognised at transaction price. Financial liabilities classified as payable within one year are not amortised.

Equity instruments

Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs.

  
2.8

Current and deferred taxation

Taxation for the year comprises current and deferred tax. Tax is recognised in the profit and loss account, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

8.Financial commitments, guarantees and contingent liabilities

There is a debenture dated 4 January 2019 securing all leasehold and freehold property. HSBC borrowings are secured by a fixed and floating charge over the assets of the company. 
There is a composite company limited multilateral guarantee dated 4 January 2019 given by That Bournemouth Big Hotel Limited, That Bournemouth Little Hotel Limited, That Bournemouth Car Park Limited, That Bournemouth Street Bar Limited and That Bournemouth H2 Limited. That Bournemouth H2 Limited has been named as a guarantor over the HSBC Bank loan held by the group to the amount of £32,000,000.
The company is a member of a VAT group and is jointly and severally liable for the VAT liabilities of all other members of the group. At the reporting date, the company has confirmed that all VAT liabilities have been paid as they fall due, and the directors consider the likelihood of the company being required to settle the liabilities of other group members to be feasible but not probable. As such, no provision has been recognised. Due to the nature of the arrangement, it is not practicable to quantify the potential financial effect.

The company has taken advantage of the exemption available in FRS 102 whereby it has not disclosed transactions with the parent company or any wholly owned subsidiary undertaking of the group.

Parent company

The company's immediate parent company is That Bournemouth H1 Limited and the ultimate parent company is That Bournemouth Company Limited, both of which are companies registered in England and Wales. 
At the year end, the ultimate parent company, which is also the parent for the largest and smallest group of undertakings for which the group financial statements are drawn up for and of which the company is a member is That Bournemouth Company Limited, a company whose registered office is 18 Albert Road, Bournemouth, England, BH1 1BZ.
The ultimate controlling party is R S Kelvin CBE, director and majority shareholder of the ultimate parent company.

The auditors' report on the financial statements for the year ended 31 July 2025 was unqualified.

The audit report was signed on 29 July 2026 by James Maxwell (Senior statutory auditor) on behalf of Cooper Parry Group Limited.
