For the year ended 30 June 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

Directors' responsibilities:
  1. The members have not required the company to obtain an audit of its accounts for the year in question in accordance with section 476.
  2. The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of accounts.
These financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime. In accordance with Section 444 of the Companies Act 2006 the profit and loss account has not been delivered to the Registrar of Companies.

The members have agreed to the preparation of abridged accounts for this accounting period in accordance with section 444(2A).

Accounting policies

Significant accounting policies
The financial statements have not been prepared on a going concern basis as the directors have resolved to cease the company's operations and apply for the company to be struck off the register. A DS01 application was filed in 15 May 2026.
Accordingly, the financial statements have been prepared on a basis other than going concern. Assets have been stated at their estimated realisable values and liabilities at the amounts expected to be settled. Provision has been made for any liabilities arising from the decision to close the company, including the costs of closure.
Website cost
Planning and operating costs for the company's website are charged to the profit and loss account as incurred.
Foreign currencies
Monetary assets and liabilities denominated in foreign currencies are translated into sterling at the rate of exchange ruling at the balance sheet date. Transactions in foreign currencies are recorded at the rate ruling at the date of the transaction. All foreign exchange differences are included to the profit and loss account.
Tangible fixed assets
These accounts have been prepared on a break-up basis. Under this basis, fixed assets should be stated at their estimated net realisable value.
No information has been provided by the directors to indicate that the realisable value of the fixed assets differs from their carrying value in these accounts. In the absence of any such information, the existing carrying value has therefore been used as the best available estimate of net realisable value.
Other Investments
Other Investments are stated at cost less provision for any permanent diminution in value.
Provisions
Provisions are recognised when the company has a present obligation as a result of a past event which it is more probable than not will result in an outflow of economic benefits that can be reasonably estimated.

Post Balance Sheet Event

After the balance sheet date, the company applied to Companies House for voluntary strike off on 15 May 2026. This is the reason these accounts have been prepared on a break-up basis rather than a going concern basis, as explained in the Basis of Preparation note.

Related Party Transactions

During the year, the company advanced £62,144.81 to Nueraroot Ltd.

Nueraroot Ltd was dissolved on 18 November 2025. As a consequence, the directors consider the intercompany balance to be irrecoverable. Accordingly, the balance has been written off in these financial statements.

The write-off has resulted in a charge of £62,144.81 being recognised in the profit and loss account.
