1.Accounting policies

 
1.1

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with FRS 102 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland' and the requirements of the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgment in applying the Company's accounting policies (see note 3).

The following principal accounting policies have been applied:

Financial Reporting Standard 102 - reduced disclosure exemptions

The Company has taken advantage of the following disclosure exemptions in preparing these financial statements, as permitted by the FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland":
the requirements of Section 7 Statement of Cash Flows;
the requirements of Section 3 Financial Statement Presentation paragraph 3.17(d);
the requirements of Section 33 Related Party Disclosures paragraph 33.7.

This information is included in the consolidated financial statements of Gardener Schools Group Limited as at 31 July 2025 and these financial statements may be obtained from Companies House.

 
1.3

Going concern

The directors have prepared these financial statements on a going concern basis because they consider the financial and operational situation sufficiently stable such that the Company will be able to meet its financial obligations as they fall due for payment for a period of at least 12 months from the date of signature of this report, despite a balance sheet deficit of £866,634 (2024: £731,703).

Critically, for the medium term, the company is dependent upon significant ongoing financial support from its immediate parent undertaking, Gardener Schools Group Limited, to which was owed £1,621,902 at 31 July 2025 (2024: £1,573,955). The shareholders and directors of Gardener Schools Group Limited are also directors of Gardener Nurseries Group Limited and have given assurance that full ongoing financial support will be provided until no longer necessary, the Company being an extremely important strategic investment for the long term future success of Gardener Schools Group.

 
1.4

Revenue

Turnover, representing fees receivable for childcare and associated services, is recognised to the extent that it is probable that the economic benefits will flow to the Company and the turnover can be reliably measured. Turnover is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. Turnover is only recognised when it can be reliably identified and it is recognised in the period in which the services are provided where it is probable that due consideration will be received.

1.5

Operating leases: the Company as lessee

Rentals paid under operating leases are charged to profit or loss on a straight-line basis over the lease term.

Benefits received and receivable as an incentive to sign an operating lease are recognised on a straight-line basis over the lease term, unless another systematic basis is representative of the time pattern of the lessee's benefit from the use of the leased asset.

 
1.6

Pensions

Defined contribution pension plan

The Company operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the Company pays fixed contributions into a separate entity. Once the contributions have been paid the Company has no further payment obligations.

The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Balance Sheet. The assets of the plan are held separately from the Company in independently administered funds.

 
1.7

Tangible fixed assets

Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, on a reducing balance basis.

Depreciation is provided on the following basis:

The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.

Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.

Debtors

Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

1.9

Cash and cash equivalents

Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value.

 
1.10

Creditors

Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

 
1.11

Provisions for liabilities

Provisions are recognised when an event has taken place that gives rise to a legal or constructive obligation, a transfer of economic benefits is probable and a reliable estimate can be made.

Provisions are measured as the best estimate of the amount required to settle the obligation, taking into account the related risks and uncertainties.
 
Increases in provisions are generally charged as an expense to profit or loss.

 
1.12

Current and deferred taxation

The tax expense for the year comprises current and deferred tax. Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.

The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the balance sheet date in the countries where the Company operates and generates income.

Deferred tax balances are recognised in respect of all timing differences that have originated but not reversed by the balance sheet date, except that:
The recognition of deferred tax assets is limited to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits; and
Any deferred tax balances are reversed if and when all conditions for retaining associated tax allowances have been met.

Deferred tax balances are not recognised in respect of permanent differences except in respect of business combinations, when deferred tax is recognised on the differences between the fair values of assets acquired and the future tax deductions available for them and the differences between the fair values of liabilities acquired and the amount that will be assessed for tax. Deferred tax is determined using tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

The Company's principal activity is the provision of private schooling and childcare. The Company is a private company, limited by shares, incorporated and domiciled in England and Wales, United Kingdom. The Company's registered office is Harwood House, 43 Harwood Road, London, SW6 4QP.

Judgments in applying accounting policies and key sources of estimation uncertainty

The preparation of the financial statements requires management to make judgments, estimates and assumptions that affect the amounts reported for assets and liabilities as at the balance sheet date and the amounts reported for revenues and expenses during the year. However, the nature of estimation means the actual outcomes could differ from these estimates.

There are no significant judgements, estimates or assumptions which impact on these financial statements.

Pension commitments

The Company makes contributions to defined contribution pension plans on behalf of certain employees. The assets of these schemes are held separately from those of the Company within independently administered funds. The pension cost charge represents contributions payable by the Company to the funds and amounted to £3,999 (2024: £6,405). Contributions totaling £1,459 (2024: £2,139) were payable to the fund at the balance sheet date and are included within Other creditors falling due within one year.

Related party transactions

The Company has taken the exemption from the requirement to disclose related party transactions within the Gardener Schools Group as permitted by FRS 102 (section 33) 'related party disclosures' on the basis that all related party transactions are between members of the group and that the company is wholly owned by the parent undertaking, Gardener Schools Group Limited. Consolidated financial statements are prepared by Gardener Schools Group Limited and can be obtained from its registered office address, being Harwood House, 43 Harwood Road, London SW6 4QP.

Controlling party

Throughout the year, the company was a wholly owned subsidiary of Gardener Schools Group Limited a company incorporated in England and Wales. 

M Gardener is considered to exercise control over Gardener Schools Group Limited.
