| The directors present their strategic report for the year ended 31 October 2025. |
| REVIEW OF BUSINESS |
| During the financial year to 31 October 2025, the company’s turnover saw a decrease of approximately 22% from the prior year, with total turnover reaching £9,726,551. The gross margin also reduced slightly from 46.39% to 40.35%, reflecting a tightening of profitability at the operating level. The net profit margin after tax declined from 12.00% in 2024 to -7.58%, largely driven by an increase in administrative and establishment costs during the year. Despite these pressures, the company remains in a robust financial position and well-placed to trade confidently into the next financial year. |
| The construction sector continues to face increased uncertainty, particularly in light of a new government administration and the ambiguity surrounding future access to public sector funding, grants, and infrastructure support. This political and economic environment is contributing to a cautious and, at times, stagnant market. |
| Nonetheless, the company has taken strategic steps to strengthen its market position and long-term resilience: |
| - | New Product Development: Towards the end of the year, we launched new product ranges, most notably the TrueTrim system. We are currently the only UK-based manufacturer bringing these products to market, giving us a significant competitive edge in both pricing and lead time. Early market response has been positive, and we expect this range to perform strongly in the year ahead. |
| - | Sustainability and Net Zero Commitment: We have formally begun our journey to net zero. In Q4, the company undertook its first full carbon footprint assessment, providing the baseline for a detailed reduction strategy. Reducing our environmental impact is now embedded within our operational priorities. |
| - | Future Investment: In line with our strategic growth plan, we have made a significant investment in the development of a new panel system, which is scheduled for launch within the next 12 months. This system is expected to further broaden our offering to the construction sector and enhance revenue diversification. |
| - | Operational Upgrades: Our in-house paintline has been upgraded to align with Qualicoat accreditation standards, a move that opens new opportunities and frameworks within the construction industry. This enhancement ensures our existing product lines now meet premium specification requirements for larger and more demanding contracts. |
| - | External Wall Insulation (EWI): We continue to monitor the role of EWI systems in the national transition towards net zero. Although government direction remains hesitant and the current lack of clarity has stalled growth in this segment, we remain optimistic that EWI will form a core component of future carbon reduction policies. |
| Our key performance indicators remain: turnover, gross margin, and net profit margin, all of which have been discussed above. These indicators, along with our ongoing investment in innovation, sustainability, and operational excellence, are central to our strategic approach as we look to future growth and resilience. |
| PRINCIPAL RISKS AND UNCERTAINTIES |
| The principal risk and uncertainties for the business is the general state of the UK economy. Especially with regard to the buoyancy of the building industry. The business is also concerned with the cost of its raw material purchases. |

| PRINCIPAL ACTIVITY |
| The principal activity of the company in the year under review was that of manufacturing of metal angle beads for the building industry. |
| DIVIDENDS |
| Interim dividends per share were paid as follows: |

| The directors recommend that no final dividend be paid. |
| The total distribution of dividends for the year ended 31 October 2025 will be £600,000 (31.10.24: £458,000). |
| RESEARCH AND DEVELOPMENT |
| The company has completed its Research & Development claim for 2025. The enhanced deduction has been included as part of the tax charge in these accounts.The enhanced deduction for the 2024 accounts was also included as part of the tax charge. |

| STATEMENT OF DIRECTORS' RESPONSIBILITIES |
| The directors are responsible for preparing the Strategic Report, the Report of the Directors and the financial statements in accordance with applicable law and regulations. |
| Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period. In preparing these financial statements, the directors are required to: |
| - | select suitable accounting policies and then apply them consistently; |
| - | make judgements and accounting estimates that are reasonable and prudent; |
| - | prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business. |
| The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. |

| We have audited the financial statements of Trueline Expanded Products Ltd. (the 'company') for the year ended 31 October 2025 which comprise the Income Statement, Other Comprehensive Income, Balance Sheet, Statement of Changes in Equity, Cash Flow Statement and Notes to the Cash Flow Statement, Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice). |
| In our opinion the financial statements: |
| - | give a true and fair view of the state of the company's affairs as at 31 October 2025 and of its loss for the year then ended; |

| Basis for opinion |
| We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. |
| Conclusions relating to going concern |
| In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate. |
| Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue. |

| Other information |
| The directors are responsible for the other information. The other information comprises the information in the Strategic Report and the Report of the Directors, but does not include the financial statements and our Report of the Auditors thereon. |

| - | adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or |

| Responsibilities of directors |
| As explained more fully in the Statement of Directors' Responsibilities set out on page three, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. |
| In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so. |
| Auditors' responsibilities for the audit of the financial statements |
| Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. |
| The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below: |
| - Obtaining an understanding of the legal and regulatory frameworks that the company operates in, focusing on those laws and regulations that have a direct effect on the financial statements; |
| - Enquiry of management around actual and potential litigation claims; |
| - Enquiry of management to identify and instances of non-compliance with laws and regulations; |
| - Performing audit work over the risk of management override of controls, including testing of journal entries and other adjustments for appropriateness; |
| - Reviewing accounting estimates for evidence of management bias; |
| - Reviewing minutes of meetings of those charged with governance and management, where available; and |
| - Reviewing the bank for evidence of large and other unusual payments. |
| Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation. |

| Basis of preparing the financial statements |
| The presentation currency of these financial statements is sterling (£) and they are rounded to the nearest £1. |
| Significant judgements and estimates |
| In the course of preparing the financial statements, no judgements have been made in the process of applying the Company's accounting policies, other than those involving estimations, that have had a significant effect on the amounts recognised in the financial statements. |
| Turnover |
| Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. |
| Turnover from the sale of goods is recognised when the significant risks and rewards of ownership of the goods has transferred to the buyer. This is usually at the point the customer has signed for the delivery of goods. |

| Long leasehold property includes a property at a deemed cost valuation from the first implementation of FRS 102 in 2016. Depreciation is being provided at 2% on this value. Subsequent purchases of long leasehold have also been included at cost and is being depreciated at 2% on the value. The company has not adopted a revaluation policy. |
| Government grants |
| Government grants relating to revenue are recognised when it is reasonable to expect that the grants will be received and that all related conditions will be met, usually on submission of a valid claim for payment. |
| Grants relating to fixed assets are recognised in the income statement on a systematic basis over the expected useful life of the assets. The deferred element is disclosed in creditors as 'Deferred government grants'. |
| Stocks |
| Stocks and work in progress are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items. |
| Cost is calculated using the first-in, first-out method and includes all purchase, transport, and handling costs in bringing stocks to their present location and condition. |
| Taxation |
| Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. |
| Current or deferred taxation assets and liabilities are not discounted. |
| Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |

| Deferred tax |
| Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date. |
| Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference. |
| Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. |
| Foreign currencies |
| Assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result. |
| Hire purchase and leasing commitments |
| Assets obtained under hire purchase contracts or finance leases are capitalised in the balance sheet. Those held under hire purchase contracts are depreciated over their estimated useful lives. Those held under finance leases are depreciated over their estimated useful lives or the lease term, whichever is the shorter. |
| The interest element of these obligations is charged to profit or loss over the relevant period. The capital element of the future payments is treated as a liability. |
| Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease. |
| Pension costs and other post-retirement benefits |
| The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate. |
| Financial instruments |
| Financial assets and financial liabilities are recognised when the company becomes party to the contractual provisions of the instrument. |
| All financial assets and liabilities are initially measured at transactions price, except for those financial assets classified as at fair value through profit and loss. which are initially measured at fair value.
