For the year ending 31 October 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with the provisions of FRS 102 Section 1A - Small Entities. The profit and loss account has not been delivered to the Registrar of Companies.

Statutory information
Sustained Consulting Ltd is a private company, limited by shares, registered in England and Wales, registration number 07372987. The registered office is 16 Upper Woburn Place, , London,, WC1H 0AF, United Kingdom.

Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities. There were no material departures from that standard.

Accounting policies
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
Basis of preparation
The accounts have been prepared under the historical cost convention as modified by the revaluation of certain fixed assets.
Presentation currency
The accounts are presented in £ sterling.
Going concern
The financial statements have been prepared on a going concern basis, which assumes that the Company will continue to operate and meet its liabilities as they fall due for the foreseeable future. As at the balance sheet date, the Group had net liabilities of £26,792, and no income was generated during the financial year due to a strategic restructuring of the business. This restructuring involved the suspension of revenue-generating activities while the Group refocused its operations toward expansion into new geographic markets, resulting in a temporary absence of trading income. Despite the current financial position, the Directors consider it appropriate to adopt the going concern basis for the following reasons: • The sole Director has provided a formal undertaking to underwrite all existing liabilities of the Company and its subsidiary. • The Director has committed to provide ongoing financial support for at least 12 months from the date of approval of these financial statements to ensure that the business can meet its obligations as they fall due. • The Group’s updated business plan projects income from new markets in the coming financial year, with early-stage activities already underway. On the basis of this committed support and the forward-looking strategy, the Directors believe that the Group has access to sufficient resources to continue trading for the foreseeable future. Accordingly, the financial statements have been prepared on a going concern basis and do not include any adjustments that would arise if the Group were unable to continue as a going concern.
Investments in Subsidiaries
Investments in subsidiary undertakings are stated at cost less any provision for impairment. The carrying amount of the investment is reviewed at each reporting date to determine whether there is any indication of impairment. Where such an indication exists, the recoverable amount of the investment is estimated and, if the carrying amount exceeds the recoverable amount, the investment is written down to its recoverable amount. Impairment losses are recognised in the profit and loss account.

Tangible fixed assets and depreciation
Tangible fixed assets are stated at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided on all tangible fixed assets, on a straight-line basis, so as to write off their cost less residual value over their expected useful lives, as follows:

The investment in Circular3 LLP ("Circular3") is stated at cost less provision for impairment. Following the group reorganisation on 30 September 2025, under which the trade, assets and liabilities of Circular3 were transferred to the parent, Circular3 ceased to trade and its net assets reduced to a single amount recoverable in respect of a disputed claim. The members have reviewed the carrying value of the investment and, the recoverable amount being lower than cost, have recognised an impairment of £6,758, reducing the carrying amount of the investment to £18,060. The impairment reflects the reduction in the recoverable amount of the investment following the transfer of Circular3's trade to the parent.

During the year, the Company drew down £0 (£0 in 2024), from a £10,000 Bank loan under the The Coronavirus the Bounce Back Loan Scheme. at a coupon rate of 2.5% annum. The loan had a 12-month capital repayment holiday and the UK Government paying the interest payments for the first 12 months. The company recoginsed the govenment contributions to interest payments as a grant. The term of the loan is 6 years and early repayment is possible without additional charges. The loan is secured against a guarantee by the UK Government.

During the year, the Director advanced £30,877 to the Company by way of an unsecured loan to provide working capital and support ongoing operations while the Group focused on restructuring its activities and preparing for entry into new geographic markets. These funds were used to meet operating expenses during a period where no trading income was generated. This brings the total balance of the loan due to the Director to £39,740 as at the reporting date (2024: £8,863). The loan is: • Unsecured • Interest-free • Repayable on demand The Director has confirmed their ongoing commitment to financially support the Company for at least 12 months from the approval of these financial statements.

Transactions with related parties
Loan from director The director and shareholder of the company, has provided an unsecured loan to the company. The loan is subordinated to the company's other loans, is repayable on demand. At 31 October 2025 the amount owed to the director was £39,740 (2024: £8,863). Further details are given in note 11. Transactions with the subsidiary undertaking On 30 September 2025 the company acquired the whole of the trade, assets and liabilities of Circular3 LLP, a subsidiary undertaking and an entity in which the company is a member, as part of a group reorganisation under common control. The transfer was made at the carrying amount of the net assets concerned, and no gain or loss arose in Circular3. The consideration was 18,060 left outstanding as an intercompany balance. The company reviewed the carrying value of its investment in Circular3 and recognised an impairment of £14,664, reducing the carrying amount to £18,060 (note 7). At 31 October 2025 the amount due to Circular3 was £289 (2024: £7,523). The company is entitled, as a member of Circular3 and under the terms of the transfer, to the net assets of Circular3 on its winding up.
