These financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with Section 1A of FRS 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland'.
In accordance with section 444 of the Companies Act 2006, the statement of comprehensive income has not been delivered.
For the year ending 31 July 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

1. General information
The company is a private company limited by shares, registered in England and Wales. The address of the registered office is Sixty Six North Quay, Great Yarmouth, Norfolk, NR30 1HE. The company's places of business are 19 Battersea Rise, London SW11 1HG, 88 Manor Park Road, West Wickham, Kent, BR4 0JZ and 1 Beckenham Road, West Wickham, Kent, BR4 0QR.
2. Statement of compliance
These financial statements have been prepared in compliance with Section 1A of FRS 102, 'The Financial Reporting Standard applicable in the UK and the Republic of Ireland'.
3. Accounting policies
Basis of preparation
The financial statements have been prepared on the historical cost basis. The financial statements are prepared in sterling, which is the functional currency of the entity.
Judgements and key sources of estimation uncertainty
Accounting estimates and assumptions are made concerning the future and, by their nature, will rarely equal the related actual outcome. The key assumptions and other sources of estimation uncertainty that have a significant risk of causing a material adjustment to the carrying amounts of assets and liabilities within the next financial year are as follows: Amortisation of goodwill is estimated over 10 years. The carrying value at the year end was £60,668 (2024: £262,321).
Revenue recognition
Turnover is in respect of dental services rendered and is measured at the fair value of the consideration received or receivable and represents amounts receivable for goods supplied and services rendered.
Income tax
Provision is made, under the liability method, to take account of timing differences between the treatment of certain items for accounts purposes and their treatment for tax purposes. Tax deferred or accelerated is accounted for in respect of all material timing differences.
Operating leases
Rentals applicable to operating leases where substantially all of the benefits and risks of ownership remain with the lessor are charged against income on a straight line basis over the period of the lease.
Goodwill
Goodwill arises on business acquisitions and represents the excess of the cost of the acquisition over the company's interest in the net amount of the identifiable assets, liabilities and contingent liabilities of the acquired business. Goodwill is measured at cost less accumulated amortisation and accumulated impairment losses. It is amortised on a straight-line basis over its useful life. Where a reliable estimate of the useful life of goodwill or intangible assets cannot be made, the life is presumed not to exceed ten years.
Intangible assets
Intangible assets are initially recorded at cost, and are subsequently stated at cost less any accumulated amortisation and impairment losses. Any intangible assets carried at revalued amounts, are recorded at the fair value at the date of revaluation, as determined by reference to an active market, less any subsequent accumulated amortisation and subsequent accumulated impairment losses. Intangible assets acquired as part of a business combination are only recognised separately from goodwill when they arise from contractual or other legal rights, are separable, the expected future economic benefits are probable and the cost or value can be measured reliably.

Amortisation is calculated so as to write off the cost of an asset, less its estimated residual value, over the useful life of that asset as follows:

The directors have assessed the estimated remaining useful economic life of the freehold property and its expected residual value and consider depreciation to be immaterial and therefore no charge has been made.
Stocks
Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items.
Hire purchase contracts
Assets held under hire purchase contract are capitalised and disclosed under tangible fixed assets at their fair value. The capital element of the future payments is treated as a liability and the interest is charged to the income statement on a reducing balance basis .
Operating lease agreements
Rentals applicable to operating leases where substantially all of the benefits and risks of ownership remain with the lessor are charged against income on a straight line basis over the period of the lease.
Defined contribution pension
Contributions to defined contribution pensions are recognised as an expense in the period in which the related service is provided.

11. Director's advances, credits and guarantees
During the year, Dr A R Patel, a shareholder of the company, operated a loan account with the company at HM Revenue & Customs approved interest rate. At the year end Dr A R Patel owed the company £135,445 (2024: £407,727).
12. Related party transactions
The company loaned money to Ramco (Harlow) Pension Scheme. At the year end the company has a balance owed from the Pension scheme of £nil (2024: £199,998). Ramco Topco Limited was incorporated in Jersey on 14 October 2024 and is the ultimate parent of Ramco Dental Limited . The balance owing from Ramco Topco Limited to Ramco Dental Limited at the year end was £407,727 (2024: nil). The balance owing from Ani Dental Clinic Limited to Ramco Dental Limited at the year end was £1,147,989 (2024: £1,065,060). Ani Dental Clinic Limited is a member of the group ultimately owned by Ramco Topco Limited. The balance owing from Denclean Dental Practice Limited to Ramco Dental Limited at the year end was £35,322 (2024: £35,322). Denclean Dental Practice Limited is a member of the group ultimately owned by Ramco Topco Limited. The balance owed to Ramco Dental Limited from Ramco (Harlow) Limited at the year end was £1,049,977 (2024:£1,800,373). Ramco (Harlow) Limited is a member of the group ultimately owned by Ramco Topco Limited. The balance owed to Ramco Dental Limited from Pageprop Limited at the year end was £1,192 (2024:£1,262). Pageprop Limited is a member of the group ultimately owned by Ramco Topco Limited.
