For the financial year ended 31 December 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

These financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

The directors of the company have elected not to include a copy of the profit and loss account within the financial statements.true

B Unique Music Limited is a private company limited by shares incorporated in England and Wales. The registered office is 3rd Floor, The Bloomsbury Building, 10 Bloomsbury Way, Holborn, WC1A 2SL.

These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.

The financial statements have been prepared under the historical cost convention.

Turnover is recognised at the fair value of the consideration received or receivable for services provided in the normal course of business, and is shown net of VAT and other sales related taxes. The fair value of consideration takes into account trade discounts, settlement discounts and volume rebates.

Royalty income is accounted for on a receivable basis to the extent that it can be quantified from amounts received from or declared by licensees and other parties.

Intangible assets acquired separately from a business are recognised at cost and are subsequently measured at cost less accumulated amortisation and accumulated impairment losses.

Intangible assets acquired on business combinations are recognised separately from goodwill at the acquisition date where it is probable that the expected future economic benefits that are attributable to the asset will flow to the entity and the fair value of the asset can be measured reliably; the intangible asset arises from contractual or other legal rights; and the intangible asset is separable from the entity.

Amortisation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is credited or charged to profit or loss.

Interests in subsidiaries, associates and jointly controlled entities are initially measured at cost and subsequently measured at cost less any accumulated impairment losses. The investments are assessed for impairment at each reporting date and any impairment losses or reversals of impairment losses are recognised immediately in profit or loss.

A subsidiary is an entity controlled by the company. Control is the power to govern the financial and operating policies of the entity so as to obtain benefits from its activities.

At each reporting period end date, the company reviews the carrying amounts of its tangible and intangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If any such indication exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any).

An impairment loss is recognised immediately in profit or loss.

The company only has financial instruments which are classified as basic financial instruments.

Short-term debtors and creditors are measured at the settlement value. Any losses from impairment are recognised in profit and loss.

Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.

The tax expense represents the sum of the tax currently payable and deferred tax.

The tax currently payable is based on taxable profit for the year. Taxable profit differs from net profit as reported in the profit and loss account because it excludes items of income or expense that are taxable or deductible in other years and it further excludes items that are never taxable or deductible. The company’s liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the reporting end date.

Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Such assets and liabilities are not recognised if the timing difference arises from goodwill or from the initial recognition of other assets and liabilities in a transaction that affects neither the tax profit nor the accounting profit.

The costs of short-term employee benefits are recognised as a liability and an expense, unless those costs are required to be recognised as part of the cost of stock or fixed assets.

The cost of any unused holiday entitlement is recognised in the period in which the employee’s services are received.

Termination benefits are recognised immediately as an expense when the company is demonstrably committed to terminate the employment of an employee or to provide termination benefits.

Transactions in currencies other than pounds sterling are recorded at the rates of exchange prevailing at the dates of the transactions. At each reporting end date, monetary assets and liabilities that are denominated in foreign currencies are retranslated at the rates prevailing on the reporting end date. Gains and losses arising on translation in the period are included in profit or loss.

In the application of the company’s accounting policies, the directors are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.

The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.

Amortisation of master recording copyright

The music publishing copyright is amortised over the lower of the remaining copyright

duration and 20 years straight line, which is considered to be standard for the industry. Judgement is applied

in assessing the industry standard duration of the copyright.

During the period, B Unique Music Limited, incurred expenses on behalf of B Unique Management Limited, a connected company, totalling £9,802. At the Balance Sheet date, B-Unique Management Ltd owed £114,369 (2024: £104,567) to B Unique Music Ltd.

During the period, B Unique Music Limited, incurred expenses on behalf of B Unique Recordings Limited, a connected company, totalling £372,461 and received income on behalf of B-Unique Recordings Ltd totalling £400,306. At the balance sheet date, B Unique Recordings Limited owed £854,804 (2024: £882,649) to B Unique Music Ltd.

During the period, B Unique Music Limited, incurred expenses on behalf of Artist Theory Limited, a connected company, totalling £81,840 and made payments to Artist Theory totalling £258,490. At the balance sheet date, Artist Theory Limited was owed £19,985 (2024: CR £156,665) from B Unique Music Ltd.

During the period, Martin Toher, a director incurred expenses on behalf of B Unique Music Limited totalling £5,743. During the period Martin Toher made withdrawals from B Unique Music Ltd totalling £1,650,000 and B Unique Ltd incurred expenses on behalf of Martin Toher totalling £12,529. At the Balance Sheet date the company owed the director, Martin Toher £1,162,605 (2024: £2,819,393)

During the period Mark Lewis, a director made withdrawals from B Unique Music Ltd totalling £1,515,000 and B Unique Music Ltd incurred expenses on behalf of Mark Lewis totalling £12,385. At the Balance Sheet date the company owed the director, Mark Lewis £1,340,429 (2024: £2,867,816)

During the period, B Unique Music Limited received income on behalf of B Unique Catalogue 1 Ltd, a connected company, totalling £1,652,963 and incurred expenses on behalf of B-Unique Catalogue 1 Ltd totalling £1,277,204. At the balance sheet date, B Unique Music Limited owed £845,902 (2024: £470,143) to B Unique Catalogue 1 Ltd.

During the period, B Unique Music Limited received income on behalf of B Unique Catalogue 2 Ltd, a connected company, totalling £168,015 and incurred expenses on behalf of B-Unique Catalogue 2 Ltd totalling £307,647. At the balance sheet date, B-Unique Catalogue 2 Limited owed £359,899 (2024: £452,841) to B Unique Music Ltd.

All loans are interest free and repayable on demand.

The company is controlled jointly by the directors, by virtue of their shareholding.
