The company is a private company limited by shares and registered in England and Wales. It was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The Directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared in accordance with the micro-entity provisions and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
Average number of employees
The average number of persons employed by the company in the period was 2.
Additional Disclosures
During the year, the Company had an outstanding loan from a shareholder, Mr Myles. The total loan advanced to the Company was £95,000. Of this amount, £27,921 has been repaid. The remaining balance of £67,079 was formally waived by the shareholder during the year. The waiver has been treated as a capital contribution, as it represents a transaction undertaken by the shareholder in their capacity as investor in the Company. Accordingly, the liability has been derecognised and the corresponding credit has been recognised within equity. The waiver was undertaken in light of the Company’s financial position and the absence of any realistic prospect of repayment, and to enable the orderly winding down of the Company’s affairs. No amounts have been recognised in the profit and loss account in respect of the waiver.
