The directors consider that the Company is entitled to exemption from audit under section 477 of the Companies Act 2006 and members have not required the Company to obtain an audit for the period in question in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.
The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime and in accordance with the provisions of FRS 102 Section 1A - small entities.
The financial statements have been delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The Company has opted not to file the statement of comprehensive income in accordance with provisions applicable to companies subject to the small companies' regime.
The financial statements were approved and authorised for issue by the board and were signed on its behalf on 31 July 2026.

Be Home Properties (Holding) Ltd is a private company, limited by shares, registered in England and Wales, registration number 16249398. The registered office is 1st Floor, Waterfront One, Waterfront Business Park, Brierley Hill, DY5 1LX.
2.Accounting policies

Basis of preparation of financial statements
|
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The following principal accounting policies have been applied:
Turnover represents rent receiveable in relation to investment property.
Interest income is recognised in profit or loss using the effective interest method.
Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.
The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the balance sheet date in the countries where the Company operates and generates income.
Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

|
Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method.
Depreciation is provided on the following basis:
The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.
Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.
Investment property is included at market fair value. Gains are recognised in the income statement. Deferred taxation is provided on these gains at the rate expected to apply when the property is sold.
Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.
Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

|
The investment property is carried at fair value on an open market value basis, as determined by professional advisors at the time of transfer from the subsidiary company, Ruskin Properties Limited on 17 April 2025 – see Note 6. The directors consider the carrying value to represent a reasonable estimate of fair value as at 31 October 2025.

On 17 April 2025, the company acquired the entire share capital of Ruskin Properties Limited for
£40,160,468 by way of a share for share exchange.
On 17 April 2025, following the transfer of certain investment property and related business from Ruskin
Properties Limited worth £9,272,705 to the company by way of a dividend in specie, the company wrote
down the value of Ruskin Properties Limited by £9,272,705 to £30,887,763 to reflect the impact of the
dividend in specie on the value of Ruskin Properties Limited.
On 17 April 2025, as part a demerger arrangement, the Ordinary B shares of £30,887,763 were cancelled
by way of a reduction of capital, with the consideration being the transfer of Ruskin Properties Limited at
no gain and no loss.

|

On 17 April 2025, 40,160,468 Ordinary shares of £1 each were allotted and fully paid to facilitate the
acquisition of the entire issued share capital of Ruskin Properties Limited by way of a share for share
exchange.
On 17 April 2025, the 40,160,468 Ordinary shares were reclassified into 9,272,705 Ordinary A shares of
£1 each and 30,887,763 Ordinary B sharesof £1 each. The shares ranked parri passu in all respects.
On 17 April 205, as part of a demerger arrangement, the Ordinary B shares were cancelled by way of a
reduction of capital. Following the cancellation, 9,272,705 Ordinary A shares of £1 each remained in issue
at the balance sheet date.
On 17 April 2025, as part of a demerger arrangement, the company received a dividend in specie of
£9,272,705 relating to the transfer of certain investment property and related business from Ruskin
Properties Limited.
On 17 April 2025, as part of a demerger arrangement, the company wrote down the value of the
investment in Ruskin Properties Limited by £9,272,705 to reflect the impact of the dividend in specie on
the value of Ruskin Properties Limited.

At the balance sheet date, a balance of £98,966 was due from a company under common ownership of a director. The balance is unsecured, interest-free and repayable on demand.
