Primrose Mansions Limited is a company limited by shares incorporated in England and Wales. The registered office is 3rd Floor, 114a Cromwell Road, Kensington, London, SW7 4AG.
The company is the freeholder of Primrose Mansions and as such acts as trustee of the statutory trust in respect of service charge monies collected for the maintenance of Primrose Mansions. The company holds these funds in trust for the lessees and has no beneficial interest in them. Income and expenditure arising from these transactions is shown in separate service charge accounts for the property that do not form part of the annual accounts of the company and are not filed at Companies House. Service charges collected are held on trust for the purpose of meeting the relevant costs in relation to the property in accordance with the provisions of section 42 of the Landlord and Tenant Act 1987.
The freehold land and buildings at Primrose Mansions, Prince of Wales Drive, London, SW11, were purchased by contributions from the lessees of the building, who then became members. There are 145 members. At the balance sheet date, an amount of £17,667 has been advanced to the service charge. This is included in Current Assets in the figures above.
The company has taken advantage of the exemption from filing a copy of the Profit and Loss Account with the Registrar of Companies.
For the year ended 29 September 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of financial statements.
The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.
These financial statements have been prepared in accordance with the micro-entity provisions and in accordance with FRS 105: The Financial Reporting Standard applicable to the Micro-entities Regime.
