| 1. | STATUTORY INFORMATION |
| Pixlee Turnto Ltd. is a private company, limited by shares, registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page. |
| The presentation currency of the financial statements is the Pound Sterling (£). All amounts have been rounded to the nearest £1 pound sterling, unless otherwise indicated. |
| 2. | ACCOUNTING POLICIES |
| Basis of preparing the financial statements |
| Going concern |
| The directors plan to wind up the company within 12 months of the filing date of these financial statements and transfer its operations to other group entities, and therefore they have been prepared on a basis other than going concern. The company will continue to meet its liabilities as they fall due based on the continued support of the group. |
| Turnover |
| The company is contracted with its immediate and ultimate parent company to provide sales and marketing services in the UK. The turnover represents revenue under the terms of the services agreement which is on a cost-plus basis. Revenue is recognised to the extent that it is probable that the economic benefits will flow to the company and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. |
| The following criteria must also be met before revenue is recognised: |
| Rendering of services |
| Revenue from a contract to provide services is recognised in the period in which the services are provided in accordance with the stage of completion of the contract when all of the following conditions are satisfied: |
| 1. the amount of revenue can be measured reliably; |
| 2. it is probable that the company will receive the consideration due under the contract; |
| 3. the stage of completion of the contract at the end of the reporting period can be measured reliably; and |
| 4. the costs incurred and the costs to complete the contract can be measured reliably. |
| Taxation |
| Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. |
| Current or deferred taxation assets and liabilities are not discounted. |
| Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |
| Pension costs and other post-retirement benefits |
| The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate. |

| Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment. |
| Cash and cash equivalents |
| Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. |
| Creditors |
| Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method. |
| Financial instruments |
| The company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities like trade and other debtors and creditors, loans from banks and other third parties, loans to related parties and investments in ordinary shares. |

| Interest income is recognised in profit or loss using the effective interest method. |

| 8. | PENSION COMMITMENTS |
| The company operates a defined contributions pension scheme. The assets of the scheme are held separately from those of the company in an independently administered fund. The pension cost charge represents contributions payable by the company to the fund and amounted to £9,098 (2024: £17,115). Contributions totalling £1,203 (2024: £2,800) were payable to the fund at the balance sheet date and are included in creditors. |
| 9. | RELATED PARTY DISCLOSURES |
| The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group. |
| 10. | ULTIMATE CONTROLLING PARTY |
| The company is wholly owned subsidiary of TurnTo Networks, Inc., a company incorporated in the United States of America. Pixlee TurnTo, Inc. is considered to be the parent company. The smallest group in which the results of the company were consolidated as at 31 December 2025 was that headed by TurnTo Networks, Inc., with its registered office at 4200 Regent Street, Suite 200, Columbus, OH 43219, United States of America. |
| Pixlee TurnTo, Inc was acquired by Emplifi Inc in November 2022. The ultimate parent company is considered to be AST SOL Group Holdings, L.P. |
| 11. | RESERVES |
| Retained earnings - represents accumulated profits and losses net of distribution to owners. |
