For the financial year ended 31 December 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

The member has not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

These financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

The directors of the company have elected not to include a copy of the profit and loss account within the financial statements.true

Accounting policies
Company information

Zenixspace Ltd is a private company limited by shares incorporated in England and Wales. The registered office is Welkin House, Milton Hill, Steventon, Abingdon, Oxfordshire, United Kingdom, OX13 6AB.

Basis of preparation

These financial statements have been prepared in accordance with Section 1A of FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime.

The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.

The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.

Going concern

Atruet the time of approving the financial statements, the directors have a reasonable expectation that the company has continued support of the shareholders to continue in operational existence for the foreseeable future. Thus the directors continue to adopt the going concern basis of accounting in preparing the financial statements.

Turnover

Revenue comprises sales of services in respect of the design and build of workspace interiors, net of value added tax and other sales taxes. Revenue is recognised when performance obligations are satisfied and the control of services is transferred to the buyer. Where the performance obligation is satisfied over time, revenue is recognised in accordance with its progress towards complete satisfaction of that performance obligation.

Tangible fixed assets

Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.

Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is credited or charged to profit or loss.

Cash and cash equivalents

Cash and cash equivalents are basic financial assets and include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.

Financial instruments

The company only has basic financial instruments measured at amortised cost, with no financial instruments classified as other or basic instruments measured at fair value.

Retirement benefits

Payments to defined contribution retirement benefit schemes are charged as an expense as they fall due.

Leases
As lessee

Rentals payable under operating leases, including any lease incentives received, are charged to profit or loss on a straight line basis over the term of the relevant lease except where another more systematic basis is more representative of the time pattern in which economic benefits from the leases asset are consumed.

Other creditors include £652,329 (2024: £43,926) due to a director of the company. The loan has interest charged at 6% and is repayable on demand.

Related party transactions

At the year end, Zenixspace Ltd were owed £173,778 (2024:115,589) from companies under common control.

 

At the year end Zenixspace Ltd owed £270,633 (2024: nil) to companies under common control.

 

At the year end, the company held loans of £381,346 (2024: £179,810) from shareholders of the company. The loan has interest charged on these loans at 6% and is repayable on demand.

 

During the year there were transactions with Oxford Gate Properties Ltd, a company in which Ross Robertson holds an interest, amounting to £40,625 (2024: £nil). At the year end amounts due to Oxford Gate Properties were £56,850 (2024: £nil).

 

During the year there were transactions with Welkin Global Investments, a company in which Ross Robertson holds an interest, amounting to £69,500 (2024: £9,000). At the year end amounts due to Oxford Gate Properties were £11,940 (2024: £nil).
