| Rivos Systems UK Limited is a |

| Basis of preparing the financial statements |
| Turnover |
| Turnover represents amounts charged to the Company's parent under a services agreement, excluding value added tax. Turnover is recognised when chargeable costs are incurred. |

| Taxation |
| Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. |

| Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |

| Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date. |
| Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference. |

| Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. |

| Short term debtors are measured at the transaction price, less any impairment. |

| Interest Income |
| Interest income is recognised in profit or loss using the effective interest method. |
| Going concern |
| These financial statements have been prepared on the going concern basis. The company is dependent upon the continued financial support of its parent group in order to meet its working capital requirements. |
| Meta Platforms, Inc. has confirmed that it will provide financial support to enable the company to meet its liabilities as they fall due to the extent that necessary funds are not otherwise available to the company to meet such liabilities for a period of at least twelve months from the date of approval of these financial statements. The directors have therefore concluded that it remains appropriate to prepare the financial statements on the going concern basis. |
| Share based payment transactions |
| Where share options are awarded to employees, the fair value of the options at the date of grant is charged to profit or loss over the vesting period. Non-market vesting conditions are taken into account by adjusting the number of equity instruments expected to vest at each reporting date so that, ultimately, the cumulative amount recognised over the vesting period is based on the number of options that eventually vest. Market vesting conditions are factored into the fair value of the options granted. The cumulative expense is not adjusted for failure to achieve a market vesting condition. |
| The fair value of the award also takes into account non-vesting conditions. These are either factors beyond the control of either party (such as a target based on an index) or factors which are within the control of one or other of the parties (such as the Company keeping the scheme open or the employee maintaining any contributions required by the scheme). |
| Where the terms and conditions of options are modified before they vest, the increase in the fair value of the options, measured immediately before and after the modification, is also charged to profit or loss over the remaining vesting period. |

| 11. | PENSION COMMITMENTS |
| The company operates a defined contributions pension scheme. The assets of the scheme are held separately from those of the company in an independently administered fund. The pension cost charge represents contributions payable by the company to the fund and amounted to £165,964 (2024: £153,751). Contributions totalling £16,767 (2024: £37,408) were payable to the fund at the reporting date and are included within creditors. |
| 12. | RELATED PARTY DISCLOSURES |
| The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group. |
| 13. | POST BALANCE SHEET EVENTS |
| Following the year end, the company's remaining employees transferred to other group companies, with no employees remaining by March 2026. No formal decision or timetable has been approved for winding down, liquidation or strike-off of the company. The directors do not consider that this event requires adjustment to the financial statements for the year ended 31 December 2025. |

| The ultimate controlling party is Meta Platforms, Inc., a company incorporated in the United States of America. The smallest and largest group in which the results of the Company are consolidated is that headed by Meta Platforms, Inc., whose registered office is 251 Little Falls Drive, Wilmington, Delaware 19808, United States of America. |

| 15. | SHARE-BASED PAYMENT TRANSACTIONS |
| During the year, employees participated in share option arrangements operated by Rivos Inc. Following the acquisition of the Rivos group by Meta Platforms, Inc., the Rivos Inc options were cancelled. Vested in-the-money options were cash-settled through payroll and unvested options were cancelled in accordance with the terms of the acquisition. No legacy Rivos Inc options remained outstanding at 31 December 2025. |
| The company has taken the exemption provided in FRS 102 paragraph 1.12(d) not to disclose further details of share-based payment arrangements concerning equity instruments of another group entity. |
