Balance sheet statements

For the year ending 31 July 2026 the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies.

The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

The members have agreed to the preparation of abridged accounts for this accounting period in accordance with Section 444(2A).

These accounts have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

The directors have chosen to not file a copy of the company’s profit & loss account.

1. Accounting policies

These financial statements have been prepared in accordance with the provisions of Section 1A (Small Entities) of Financial Reporting Standard 102

Intangible fixed assets and amortisation policy

The ARKS IP bundle comprising the UK trademark, domain www.arks.com, copyright, know-how and goodwill was acquired separately by the director and assigned to the company on 23 July 2026 at a value of £659,357.98, being the documented personal acquisition cost. The directors consider the intangible assets to have an indefinite useful life on the basis that the ARKS registered trademark is renewable indefinitely. Accordingly no amortisation is charged and an annual impairment review is carried out.

Valuation and information policy

Stocks are stated at the lower of cost and net realisable value. Where individual items within a group have different stages of completion each group is valued at its specific cost.

Other accounting policies

Basic financial instruments are recognised at transaction price. Trade debtors are recognised at transaction price and reviewed for impairment at each balance sheet date. The company has taken advantage of the small companies exemption from preparing a cash flow statement.

The intangible assets comprise the ARKS IP bundle assigned to the company by Adam Thorpe (director) on 23 July 2026 at a value of £659,357.98, being the documented personal acquisition cost. The bundle includes the UK registered trademarks, domain www.arks.com, copyright, know-how and goodwill. Design Rights are excluded and are retained personally by the director. The directors consider the assets to have an indefinite useful life on the basis that the ARKS registered trademark is renewable indefinitely. No amortisation has been charged. An annual impairment review has been carried out and no impairment is considered necessary.

Debtors due after more than one year: 0 0

Debtors of £360,000 (2025: £360,000) represents amounts owed by Stars UK R&D Ltd in respect of 4 part-built chassis sold on 30 June 2025. Stars UK R&D Ltd is a connected company by virtue of a shared director and Person with Significant Control, Adam Thorpe. The full balance remained outstanding at 31 July 2026. The director considers the debt fully recoverable.

5. Creditors: amounts falling due within one year note

Creditors of £1,319,358 (2025: £660,000) represents the Director's Loan Account balance owed to Adam Thorpe comprising two entries reflecting assets assigned to the company by the director at their documented cost. Both balances are unsecured and interest free. Repayment will be made at such time as the company's cash resources permit.
