The financial statements have been delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The Company has opted not to file the statement of income and retained earnings in accordance with provisions applicable to companies subject to the small companies' regime.
The financial statements were approved and authorised for issue by the board and were signed on its behalf on 29 July 2026.

FSJ Industries Limited ("the Company") is a private company, limited by shares, registered in England and Wales, registration number 15439535. The registered office is Unit 7 Bourne Court, Southend Road, Woodford Green, England, IG8 8HD.
2.Accounting policies

Basis of preparation of financial statements
|
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the requirements and the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The following principal accounting policies have been applied:
Finance costs are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.
All borrowing costs are recognised in profit or loss in the year in which they are incurred.
Investments in subsidiaries are measured at cost less accumulated impairment.

Cash and cash equivalents
|
Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value.
Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

On incorporation, 1 Ordinary share was issued for £1, on 14 March 2024 this Ordinary share was re-designated to be 1 Ordinary A share of £1.
On 14 March 2024, a further 5,990 Ordinary A shares, 887 Ordinary B shares and 593,122 Preference shares were issued.
On 16 May 2025, a further 2,924 Ordinary B shares were issued.
On 31 December 2025, £1,260,000 of convertible loan notes were converted into a further 12,600 Ordinary A shares and 1,247,400 preference shares.
Other reserves
Other reserves represent the equity component of the convertible loan notes. During the year the loan notes were converted and the equity component within other reserves was transferred to share capital.

Related party transactions
|
|
|
During the year, interest was charged of £151,200 was charged on convertible loan notes of £1,260,000 owing to a director. During the year, these loan notes were converted into equity share capital.
Transactions with group companies are not disclosed by virtue of exemption claimed under FRS102 33.1A.
