General information

The Hinds Head Limited is a private company, limited by shares, registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.
The presentation currency of the financial statements is the Pound Sterling (£).

2.ACCOUNTING POLICIES

 
2.1

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The following principal accounting policies have been applied:

 
2.2

Going concern

The company has incurred a trading loss this period which has increased the balance sheet to negative reserves of £1,401,207.  Despite this the director is pleased with the performance of the company given the challenging environment in which it has been operating. The business will continue to solve the problems produced by the current operating environment. The director has been encouraged by the continued improvement in the performance of the business post year end. The fundamental drivers of the business remain strong and the management team are more focused than ever to return the company to profitability through an enhanced guest experience.
The company expects to see continuing inflationary pressures in its cost base – particularly through wage increases and changes to Employers National Insurance rates. The company remains determined to deliver excellent guest value and experience which generate new and repeat guests.
The director believes that, with the excellent management team and the ongoing support of the Group and its parent, SL 6 Ltd, the company will have all the necessary resources to trade profitably for the foreseeable future.
Accordingly, the company continues to adopt the going concern basis in preparing its annual report and accounts.

  
2.3

Turnover

Turnover represents net invoiced sales of goods and services, excluding value added tax.

Related party exemption

The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.

2.5

Pensions

Defined contribution pension plan

The Company operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the Company pays fixed contributions into a separate entity. Once the contributions have been paid the Company has no further payment obligations.

The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Balance Sheet. The assets of the plan are held separately from the Company in independently administered funds.

 
2.6

Current and deferred taxation

The tax expense for the period comprises current and deferred tax. Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.

The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the balance sheet date in the countries where the Company operates and generates income.


 
2.7

Tangible fixed assets

Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method.

Depreciation is provided on the following basis:

The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.

Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.

Stocks

Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items.

Hire purchase and leasing commitments

Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.

Smallest parent company

The smallest parent company which draws up consolidated financial statements, which the company is a member of, is SL6 Limited whose registered office is Unit B, Tectonic Place, Holyport Road, Maidenhead, Berkshire, SL6 2YE.

 
2.11

Debtors

Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

 
2.12

Creditors

Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

 
2.13

Provisions for liabilities

Provisions are recognised when an event has taken place that gives rise to a legal or constructive obligation, a transfer of economic benefits is probable and a reliable estimate can be made.
Provisions are measured as the best estimate of the amount required to settle the obligation, taking into account the related risks and uncertainties.
 
Increases in provisions are generally charged as an expense to profit or loss.

The average monthly number of employees, including directors, during the period was 45 (2024 - 51).

Contingent liabilities

The company has provided an unlimited guarantee in respect of the bank loans of fellow subsidiaries.
At the balance sheet date, these loans totalled £1,707,160 (2024: £1,707,160).

Related party transactions

The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102
'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related
party transactions with wholly owned subsidiaries within the group.

Controlling party

The director is of the opinion that the ultimate controlling party at the balance sheet date was Lowenthal
Corporation Limited.
The company is exempt under Section 400 of the Companies Act 2006 from the requirements to prepare
consolidated financial statements as it and its subsidiary undertaking are included by full consolidation in
the consolidated financial statements of its parent, SL 6 Limited, a company incorporated in England and
Wales whose registered office is Unit B Tectonic Place, Holyport Road, Maidenhead, Berkshire, SL6 2YE.

Auditors' information

The auditors' report on the financial statements for the period ended 25 May 2025 was unqualified.

In their report, the auditors emphasised the following matter without qualifying their report:

Material uncertainty related to going concern
We draw attention to note 2.2 in the financial statements, which explains the ongoing difficulties still faced
by the company due to rising costs and the net liabilities shown in the balance sheet.
These events or conditions indicate that a material uncertainty exists that may cast significant doubt on the Company's ability to continue as a going concern. Our opinion is not modified in respect of this matter.

The audit report was signed on 4 August 2026 by Paul Hawksley FCA, MAAT, CTA (Senior Statutory Auditor) on behalf of TWP Accounting LLP.

This report is made solely to the Company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the Company's members those matters we are required to state to them in an Auditors' Report and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the Company and the Company's members, as a body, for our audit work, for this report, or for the opinions we have formed.
