Accounting policies |
Summary of significant accounting policies and key accounting estimates
The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all the years presented, unless otherwise stated.
Statement of compliance
These financial statements have been prepared in accordance with Financial Reporting Standard 102 Section 1A smaller entities - 'The Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland' and the Companies Act 2006 (as applicable to companies subject to the small companies' regime).
Basis of preparation
These financial statements have been prepared using the historical cost convention except that as disclosed in the accounting policies certain items are shown at fair value.
Going concern
The financial statements have been prepared on a going concern basis.
At the balance sheet date, the company had net liabilities of £2.4 million, including amounts of £5.5m due to its parent company. The company is reliant on continued financial support from its parent company. The directors have received confirmation that the parent company will continue to provide financial support for the foreseeable future and will not seek repayment of amounts due until the company is in a position to repay them.
The directors have considered a period of at least 12 months from the date of approval of these financial statements and are satisfied that the company has adequate resources to continue in operational existence for the foreseeable future. Thus, the directors have continued to adopt the going concern basis of accounting in preparing these financial statements.

Revenue recognition
Revenue represents retail sales of health and beauty products and other related services provided to customers in the United Kingdom. It is measured at the fair value of the consideration received or receivable on the day that the store sale is made. Online sales revenue is recognised once an oder has been fulfilled and delivered. Revenue is shown net of returns, discounts, loyalty card points and is stated net of value added tax.
In repect of loyalty schemes, as points are issued to customers the retail value of those points is deferred. When the points are used by the customers they are recorded as revenue. Liabilities are recorded to estimate the proportion of the points issued which are expected to be redeemed by the customers.
Foreign currency transactions and balances
Non-monetary items measured in terms of historical cost in a foreign currency are not retranslated.
Tangible assets
Tangible assets are stated in the balance sheet at cost, less any subsequent accumulated depreciation and subsequent accumulated impairment losses.
The cost of tangible assets includes directly attributable incremental costs incurred in their acquisition and installation.

Depreciation is charged so as to write off the cost of assets, other than land and properties under construction over their estimated useful lives, as follows:

Intangible assets
a) Website Development cost:
Website development cost is carried at cost less accumulated amortisation and any provison for impairment. Company capitalise website development expenditue as an intangible assets when it is probable that expected future economic benefits will flow to the entity and the cost or value of the asset can be measures reliability.
b) Brands
Brands and trademarks are recognised at fair value at the acquisition date.

Amortisation is provided on intangible assets so as to write off the cost, less any estimated residual value, over their useful life as follows:

Cash and cash equivalents
Cash and cash equivalents comprise cash on hand and call deposits, and other short-term highly liquid investments that are readily convertible to a known amount of cash and are subject to an insignificant risk of change in value.
Stocks
Stocks are stated at the lower of cost and net realisable value and consist of finished goods purchased for resale. Net realisable value is the estimated selling price in the ordinary course of business, less estimated costs necessary to make the sale.
At each reporting date, stocks are assessed for impairment. If stock is impaired, the carrying amount is reduced to its selling price less costs to complete and sell. The impairment loss is recognised immediately in profit and loss.
Trade creditors
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Accounts payable are classified as current liabilities if the company does not have an unconditional right, at the end of the reporting period, to defer settlement of the creditor for at least twelve months after the reporting date. If there is an unconditional right to defer settlement for at least twelve months after the reporting date, they are presented as non-current liabilities.
Trade creditors are recognised initially at the transaction price and subsequently measured at amortised cost using the effective interest method.
Borrowings
Borrowings are recognised initially at fair value,net of transaction costs incurred. Borrowings are subsequently
carried at amortised cost.
Deferred and Contingent Consideration
Deferred consideration is initially measured at cost, being the fair value of the consideration payable at the acquisition date. Deferred consideration is recognised when the amounts payable can be measured reliably and payment is probable.
Where payment is deferred beyond normal credit terms, the amounts payable are discounted to present value where the effect of the time value of money is material.
Contingent consideration is recognised at fair value at the acquisition date where it can be measured reliably.
Subsequent changes in estimates of contingent consideration are recognised in profit or loss. The unwinding of any discount on deferred consideration is recognised as a finance cost.
Share capital
Ordinary shares are classified as equity. Equity instruments are measured at the fair value of the cash or other resources received or receivable, net of the direct costs of issuing the equity instruments. If payment is deferred and the time value of money is material, the initial measurement is on a present value basis.

Summary of transactions with parent
At the balance sheet date the amount due to Oh My Cream SAS was £5,586,092 (2024: £2,537,488) for cash advance and stock and other items purchased for use in the store. The loan balance is unsecured and bears variable interest of 4.55 % (2024:5.75) % per annum. The loan is repayable on demand.
The Company has taken advantage of exemption under Section 33.1A of FRS102 from disclosing transactions between wholly owned group members.
