With effect from 1 January 2026, interest at 2% per annum will be payable on any balance outstanding to the intercompany loan accounts
The interest will be calculated based on the monthly outstanding balances and will be accrued and accounted for at the financial year end.
Gruvi Media Inc. (USA)
During the year, Gruvi Limited transferred £25,596 to Gruvi Media Inc. to be held on its behalf.
At the balance sheet date, £29,137 (2024: £3,723) was due to Gruvi Media Inc. The balance has been included within creditors due after more than one year.
Gruvi Media UG (Germany)
Gruvi Media UG is a subsidiary of Gruvi Limited by virtue of its shareholding.
During the year, transfer pricing charges of £127,400 (2024: £Nil) were raised on Gruvi Media UG in respect of its share of expenses incurred by Gruvi Limited.
The transfer pricing charge comprised subscription costs of £515 (2024: £3,235) together with other shared costs of £126,885. During the year, Gruvi Limited also paid expenses on behalf of Gruvi Media UG amounting to £92,151 (2024: £285,182), all of which were fully reimbursed.
During the year, Gruvi Media UG advanced loans of £384,223 to Gruvi Limited. Interest of £1,914 was charged on the outstanding loan balance at the end of the financial year.
At the balance sheet date, £89,497 (2024: debtor balance of £171,670) was owed to Gruvi Media UG and has been included within creditors due after more than one year.
The Audience Project (Denmark)
The Audience Project ("TAP") is a related party by virtue of shared directorships and a strategic commercial partnership. Transactions during the year were conducted at arm's length under a formal Transfer Pricing Agreement.
During the year, transfer pricing charges of £187,070 (2024: £76,009) were raised in respect of TAP's share of expenses incurred by Gruvi Limited.
The transfer pricing charge comprised subscription costs of £4,146 (2024: £2,236) together with reimbursement of other operating costs of £182,924 (2024: £73,773). These reimbursements have been shown as Other Operating Income within the profit and loss account.
During the year, TAP advanced an interest-free loan of £143,429 to Gruvi Limited with no fixed repayment terms. The balance was fully offset against the transfer pricing charges raised during the year.
At the balance sheet date, £38,657 (2024: £12,390) was due from TAP and has been included within debtors due within one year.
Gruvi PTY Ltd (Australia)
Gruvi PTY Ltd is a subsidiary of Gruvi Limited by virtue of its shareholding.
During the year, transfer pricing charges of £297,458 were raised in respect of Gruvi PTY Ltd's share of expenses incurred by Gruvi Limited.
The transfer pricing charge comprised subscription costs of £4,721 (2024: £3,979) together with reimbursement of other shared costs of £292,737 (2024: £200,553). These reimbursements have been shown as Other Operating Income within the profit and loss account.
At the balance sheet date, £24,916 (2024: £65,080) was due from Gruvi PTY Ltd and has been included within debtors due within one year.
Gruvi Portugal
Gruvi Portugal is a subsidiary of Gruvi Limited by virtue of its shareholding.
During the year, transfer pricing charges of £6,043 were raised in respect of Gruvi Portugal's share of expenses incurred by Gruvi Limited.
The transfer pricing charge comprised subscription costs of £2,167 (2024: £Nil) together with reimbursement of other shared costs of £3,876 (2024: £Nil). These reimbursements have been shown as Other Operating Income within the profit and loss account.
During the year, Gruvi Limited advanced an interest-free loan of £316,419 to Gruvi Portugal. The loan has no fixed repayment terms.
At the balance sheet date, £299,371 (2024: £23,780) was due from Gruvi Portugal and has been included within debtors due within one year.
The transfer pricing charges are arms length transactions based on the Transfer Pricing Agreement in place.
