Balance sheet statements

For the year ending 30 September 2025 the company was entitled to exemption under section 477 of the Companies Act 2006 relating to small companies.

The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

The members have agreed to the preparation of abridged accounts for this accounting period in accordance with Section 444(2A).

These accounts have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

The directors have chosen to not file a copy of the company’s profit & loss account.

3. Fixed investments

Investment property comprises residential freehold property at 20 Broadley Street, London NW8 8AE. The fair value has been determined by the directors on an open market value basis with vacant possession as at 30 September 2025. On 12 September 2025 the entire issued share capital of the company was acquired by M7 PTE Ltd in an arm's length transaction. The consideration was determined by reference to a value for the property of £1,650,000. The directors have reviewed the valuation adopted in the prior year in the light of that transaction and have revised the carrying value accordingly.

4. Creditors: amounts falling due after more than one year note

The amount owed to the parent undertaking is unsecured, interest free, and is not repayable within twelve months of the balance sheet date. The bank loans and overdrafts outstanding at 30 September 2024 were repaid in full on 12 September 2025. All security granted by the company in favour of Arbuthnot Latham & Co., Limited, comprising the legal charge, debenture and charges over deposit dated 22 September 2017 and 26 July 2023, has been released and discharged.

5. Related party transactions

Description of the Transaction: On 12 September 2025 the company received a loan of £1,140,000 from its parent undertaking, M7 PTE Ltd, which was applied in repaying the company's banking facilities in full. The loan is unsecured and interest free. The balance outstanding at 30 September 2025 was £1,140,000 (2024: £nil). During the year amounts of £769,095 owed to undertakings under the control of the former owner of the company were released (see note 3).
