1. STATUTORY INFORMATION

Yavica UK Ltd is a private company, limited by shares , registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

2. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

Going concern
The financial statements are prepared on a going concern basis assuming the continued financial support of the parent company.

The parent company has confirmed that it will maintain financial support for at least the next twelve months from the date of the signing of the audit opinion for the financial year ended 31st of December 2025 to enable the company to continue normal trading operations.

The Yavica Group has grown significantly during the past 3 years, with group revenue increasing year-over-year (2025: 4%, 2024: 47%, 2023: 29%), while at the same time investing significant cash flows in development of current and new software products (CRM, Loan Management, Data Management). Investment in products over the last 3 years amounts to over mDKK 58 (2025: mDKK 26, 2024: mDKK 18, 2023: mDKK 14).

The combination of strong positive cash flows, stemming from Yavica's group growth and improved operations has supported this growth and investment level. Yavica's group current growth plan is at a similar rate in 2026 and 2027.

The Yavica Group has secured additional financing during Q4 2025 in the form of a 5-year facility to support Yavica's ambition to accelerate growth.

Related party exemption
The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.

Turnover
Contract work in progress (construction contracts) is recognised at the rate of completion, which means that turnover equals the selling price of the work completed for the year (percentage-of-completion method). This method is applied when total turnover and expenses in respect of the contract and the stage of completion at the balance sheet date can be measured reliably, and it is probable that the economic benefits, including payments, will flow to the Company. The stage of completion is determined on the basis of the ratio between the expenses incurred and the total expected expenses of the contract.

2. ACCOUNTING POLICIES - continued

Services are recognised at the rate of completion of the service to which the contract relates by using the percentage-of-completion method, which means that turnover equals the selling price of the service completed for the year. This method is applied when total revenues and expenses in respect of the service and the stage of completion at the balance sheet date can be measured reliably, and it is probable that the economic benefits, including payments, will flow to the Company. The stage of completion is determined on the basis of the ratio between the expenses incurred and the total expected expenses of the service.

Turnover is measured at the consideration received and is recognised exclusive of VAT and net of discounts relating to sales.

Cost of sales
Cost of sales comprise costs incurred in generating revenue for the year. Such costs include employee labour, subcontract labour, etc.

Administration expenses
Administrative expenses include expenses relating to the Entity's ordinary activities, including expenses for
premises, staff costs, marketing costs, etc.

Staff costs
Staff costs comprise wages and salaries, and social security contributions, pension contributions, etc. for entity staff.

Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.

Interest and similar income and charges
Interest and similar income and charges are recognised in the profit and loss account over the term of such instruments at a constant rate on the carrying amount.

Foreign currencies
Transactions denominated in foreign currencies are recorded at the rates of exchange ruling at the date of the transactions. Monetary assets and liabilities denominated in foreign currencies are translated at period end rates. The resulting exchange differences are dealt with in the profit and loss account in the period to which they arise.

Financial instruments
The company only has financial assets and liabilities of a kind that qualify as basic financial instruments.
Basic financial instruments are initially recognised at transaction value and subsequently measured at their
settlement value.

Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

Debtors
Debtors are valued individually and a provision is made according to this valuation.

Cash at bank
Cash at bank include deposits held at call with banks.

Creditors
Creditors are carried at payment or settlement amounts. Where the time value of money is material, creditors are carried at amortized cost.
