Accountants' report to the board of directors of Gaubert's Brothers Limited on the preparation of the unaudited statutory accounts for the year ended 31 March 2026
In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the accounts of Gaubert's Brothers Limited for the year ended 31 March 2026 as set out on pages 5 - 10 from the company's accounting records and from information and explanations you have given us.
This report is made solely to the Board of Directors of Gaubert's Brothers Limited , as a body, in accordance with the terms of our engagement. Our work has been undertaken solely to prepare for your approval the accounts of Gaubert's Brothers Limited and state those matters that we have agreed to state to them, as a body, in this report. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than Gaubert's Brothers Limited and its Board of Directors as a body for our work or for this report.
It is your duty to ensure that Gaubert's Brothers Limited has kept adequate accounting records and to prepare statutory accounts that give a true and fair view of the assets, liabilities, financial position and profit of Gaubert's Brothers Limited . You consider that Gaubert's Brothers Limited is exempt from the statutory audit requirement for the year.

For the year ending 31 March 2026 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with the provisions of FRS 102 Section 1A - Small Entities. The profit and loss account has not been delivered to the Registrar of Companies.

Statutory information
Gaubert's Brothers Limited is a private company, limited by shares, registered in England and Wales, registration number 08967439. The registered office is 86-90 Paul Street, London, EC2A 4NE, United Kingdom.

Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities. There were no material departures from that standard.

Accounting policies
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
Principal activity
The principal activity of the company during the year was the provision of professional membership organisations and recruitment services. There was no material change in the nature of the company’s activities during the year.
Basis of preparation
The financial statements have been prepared in accordance with FRS 102 Section 1A Small Entities and under the historical cost convention.
Presentation currency
The accounts are presented in £ sterling.
Going concern
At the balance sheet date the company had net liabilities of £930,846. The directors have received confirmation from the shareholders that they will continue to provide financial support for a period of at least 12 months. The company completed a restructuring of its costs in January 2026. This reduction in the company's costs has resulted in the company trading profitably. On this basis, the directors consider it appropriate to prepare the financial statements on a going concern basis.
Turnover
Turnover represents the amounts (excluding value added tax) derived from the provision of services to third party customers during the year. The services are derived from the principal activities of the company.
Revenue recognition
Revenue is measured at the fair value of consideration received or receivable, net of VAT and trade discounts. Service income is recognised as services are provided. Amounts invoiced in advance of the provision of services are recognised as deferred income.
Foreign currency
Transactions in foreign currencies are translated at the exchange rate ruling at the date of the transaction. Monetary assets and liabilities are translated at year-end rates. Exchange differences are recognised in profit or loss.
Pension costs
The company operates a defined contribution plan for its employees. A defined contribution plan is a plan under which the company pays fixed contributions into a separate entity. Once the contributions have been paid the company has no further payment obligations. The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the statement of financial position. The assets of the plan are held separately from the company in independently administered funds.

Leases
Operating lease rentals are charged to profit or loss on a straight-line basis over the lease term.
Finance costs
Finance costs are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.
Borrowing costs
Borrowing costs are recognised as an expense in the period incurred.
Employee benefits
Short-term employee benefits, including holiday pay, are recognised as expenses as services are rendered. Contributions to defined contribution pension schemes are charged to profit or loss when due.
Material items of income and expense
Administrative expenses include redundancy costs of £128,707 (2025: £Nil) incurred as part of a restructuring of the company's operations. The directors consider these costs to be material by virtue of their size and nature and have therefore disclosed them separately.
Tangible fixed assets policy
Tangible assets are included at cost less depreciation and impairment. Depreciation has been provided at the following rates in order to write off the assets over their estimated useful lives:

Financial instruments
The company has elected to apply the provisions of Section 11 'Basic Financial Instruments' and Section 12 'Other Financial Instruments Issues' of FRS 102 to all of its financial instruments. Financial instruments are recognised in the company's balance sheet when the company becomes party to the contractual provisions of the instrument. Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.
Basic financial assets
Basic financial assets, which include debtors, cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.
Classification of financial liabilities
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangement entered into. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities.

Basic financial liabilities
Basic financial liabilities, including creditors, bank loans and loans from fellow group companies are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised. Debt instruments are subsequently carried at amortised cost, using the effective interest rate method. Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.
Equity instruments
Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.
Current and deferred taxation
The tax expense for the year comprises current and deferred tax. Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively. The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the company operates. Deferred tax balances are recognised in respect of all timing differences that have originated but not reversed by the reporting date, except that: The recognition of deferred tax assets is limited to the extent that it is probable that they will be recovered against the reversal of tax liabilities or other future taxable profits; and Any deferred tax balances are reversed if and when all conditions for retaining associated tax allowances have been met. Deferred tax balances are not recognised in respect of permanent differences except in respect of business combinations, when deferred tax is recognised on the differences between fair values of assets acquired and the future tax deductions available for them and the differences between the fair values of liabilities acquired and the amount that will be assessed for tax. Deferred tax is determined using tax rates and laws that have been enacted or substantively enacted by the reporting date. During the current year, the company recognised a deferred tax asset in respect of trading losses carried forward and other deductible temporary differences. The deferred tax asset is included within 'Debtors amounts falling due after more than one year, Other debtors' in the financial statements. The directors have concluded that recognition is appropriate as the company is expected to return to profitability during the following financial year. This assessment is supported by approved business plans and financial forecasts covering a ten-year period, which indicate that sufficient future taxable profits are expected to arise to enable the deferred tax asset to be recovered in full. The recoverability of the deferred tax asset will continue to be reviewed by the directors at each reporting date.

Pension commitments
The company operates a defined contribution pension scheme. The assets of the scheme are held separately from those of the company in an independently administered fund. Contributions totalling £2,391 (2025: £2,997) were payable to the fund at the reporting date and are included in creditors.
