1.Accounting policies
Statutory information
UK Investment Group Ltd is a private company limited by shares, incorporated in England and Wales, registered number 10900274. The registered office is 6-14 Great Ancoats Street, Manchester, M4 5AZ. The principal activity of the company is the holding, development and letting of real estate.
Basis of preparation
These financial statements have been prepared in accordance with FRS 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland, applying Section 1A Small Entities, and the Companies Act 2006, under the historical cost convention as modified by the revaluation of investment property. The financial statements are prepared in sterling and rounded to the nearest pound. The financial statements have been prepared solely from the accounting records of the company and from information, explanations and instructions provided by the director, who has confirmed that all relevant records and information have been made available. No audit, review or independent verification has been carried out by the company's accountants. In particular, the existence, recoverability, classification and completeness of the balances described in the notes on tangible fixed assets, investment property, debtors, funds held by HM Revenue and Customs, directors' advances and related party transactions, and the matters described in the notes on going concern, secured creditors and provisions for liabilities, reflect the director's representations and instructions. Where supporting documentation has not been made available, this is stated in the relevant note. Responsibility for the financial statements, and for the completeness and accuracy of the records, information, explanations and instructions from which they have been prepared, rests solely with the director.
Going concern
The company incurred a loss for the year of £222,884 (2024: £174,978) and at the balance sheet date its current liabilities exceeded its current assets by £776,709 (2024: £554,582). Amounts owed to related undertakings of £3,145,911 (2024: £3,140,411) are interest free and repayable on demand. In addition, funds of £338,891 are held by HM Revenue and Customs pending the conclusion of an investigation, as described in the note on funds held by HM Revenue and Customs. The director has represented that the related undertakings will not seek repayment of the amounts owed to them within twelve months of the date of approval of these financial statements other than to the extent that the company has resources to do so, and that he will continue to make available such support as the company requires. On the basis of these representations the director considers it appropriate to prepare the financial statements on the going concern basis. These conditions nevertheless indicate the existence of a material uncertainty which may cast significant doubt on the company's ability to continue as a going concern. The financial statements do not include the adjustments that would result if the company were unable to continue as a going concern.
Turnover policy
Turnover represents rents and other property income receivable, exclusive of value added tax.
Deferred tax
Deferred tax is provided on timing differences, including the revaluation of investment property, at the rates expected to apply when the differences reverse.
Tangible fixed assets and depreciation
Tangible fixed assets are stated at cost less accumulated depreciation. Depreciation is provided at rates determined by the director to write off the cost of each asset, less any estimated residual value, over its expected useful life.

Investment property
Investment property is measured at fair value at each reporting date with changes recognised in profit or loss and, where arising from previous revaluations, held within the revaluation reserve; no revaluation was undertaken in the year and the carrying amount reflects the most recent valuation adopted by the director. No depreciation is provided on investment property.
Financial instruments
Basic financial instruments, including loans to and from related parties, are measured at transaction price less any impairment; such balances are interest free and repayable on demand unless otherwise stated.
2.Staff Costs
Wages and salaries of £25,140 (2024: £12,570) are year-end provisions in respect of the director and Ms Natalie Watts, credited to their respective loan accounts. Payroll records provided to the company by its previous accountants on 10 August 2026 record that a payroll was operated for the company under the previous arrangements under PAYE reference 120/ZE07825, through which salaries and statutory maternity pay were reported to HM Revenue and Customs; that the final submission under that reference related to the pay period ended 31 August 2024, at the beginning of the year, with no submissions recorded for the remainder of the year; and that statutory maternity payments ceased on 3 September 2024. The amounts recorded in respect of the year are not material to these financial statements, and do not correspond to payments in the company's accounting records. The wages recognised in these financial statements are the year-end provisions described above. An application for the registration of a new PAYE scheme has been made to HM Revenue and Customs; the amounts provided will be reported once registration is complete, and any resulting liabilities to income tax and national insurance will be accounted for at that time. No provision for such liabilities has been made in these financial statements. The reconciliation of the payroll records with these financial statements and the loan accounts will be dealt with in the 2026 review, and any adjustment arising will be made in that year.
3.Average number of employees
The average number of persons employed by the company during the year, including the director, was 3 (2024: 1), per the information provided by the director.

Included within the cost of fixtures and fittings is an amount of £274,921 recognised in the year ended 28 August 2024 on the basis of schedules and representations provided by the directors at that time. Supporting purchase documentation for this amount has not been made available to the company's accountants, and the amount has not been independently verified. On the director's instruction the balance has been carried forward unadjusted in these financial statements, and the director has resolved that it be reviewed as part of the exercise described in the notes on provisions for liabilities and events after the reporting date, with any adjustment required to be reflected, by way of prior year adjustment if appropriate, in the financial statements for the year ending 28 August 2026.
5.Investment property
Investment property is carried at £2,510,550 (2024: £2,510,550) at fair value. Cumulative revaluation surpluses of £1,275,606 are held within the revaluation reserve, of which £761,195 is carried in the investment property revaluation account and the balance of £514,411 is included within the cost and additions balances brought forward on the restatement of the accounting records in 2023, those balances having been brought on at valuation. The historical cost of the properties is accordingly approximately £1,234,944. No revaluation was undertaken in the year; the carrying amount reflects the most recent valuations adopted by the director, no independent valuation has been commissioned, and the director considers the carrying amount to be appropriate. The properties are subject to fixed charges securing the bank borrowings described in the note on secured creditors.

10.Secured creditors
Bank borrowings comprise mortgages of £403,729 and £695,182 secured by fixed charges over the company's properties. No analysis of instalments contractually due within one year has been made available to the company's accountants; the whole of the borrowings has been classified as falling due after more than one year in accordance with the director's instructions and the treatment adopted in the prior year.
11.Provisions for liabilities
No provision for corporation tax has been made in these financial statements. Loans and advances to the director and to persons connected with the director, as set out in the notes on directors' advances and related party transactions, may give rise to a liability under section 455 of the Corporation Tax Act 2010, together with interest on any amount unpaid from the due date. The director has been advised of the potential liability and of the basis on which it would be computed, and has instructed that the corporation tax position, together with the matter described in the note on tangible fixed assets, be reviewed and, to the extent required, adjusted in the financial statements for the year ending 28 August 2026, which will be prepared by the company's newly appointed accountants. No adjustment has been made in these financial statements, in accordance with that instruction. Deferred tax of £259,339 (2024: £259,339) is provided in respect of the revaluation of investment property. No adjustment has been made to the provision in the year; the rate at which the provision is stated, and its adequacy, form part of the taxation review described in this note above.

12.Single asset or liability composition
Other debtors include £338,891 in respect of funds transferred from the company's bank account and held by HM Revenue and Customs pending the conclusion of an investigation which was ongoing at the date of approval of these financial statements. The investigation concerns value added tax repayments made to related undertakings, funds from which were transferred to the company. The company's accountants are aware of the investigation and its subject matter. The outcome of the investigation, and consequently the recoverability of this amount, cannot presently be determined. On the basis of the director's assessment no provision has been made against the balance. Should some or all of the funds prove irrecoverable, a charge would arise in the period in which that outcome is determined.
13.Contingent liabilities
Depending upon the outcome of the HM Revenue and Customs investigation described in the note on funds held by HM Revenue and Customs, the company may face claims to repay or forfeit funds received. The existence and quantum of any such liability cannot presently be determined and no provision has been made in respect of it.
14.Directors advances, credits and guarantees
D K Howell. Balance at 29 August 2024: £nil. Reallocated from the combined related party balance (29 August 2024): £10,432. Advances during the year: £25,303. Amounts credited (salary provided): £(12,570). Balance at 28 August 2025: £23,165. Prior to the current year the company's loan accounts with the director and connected persons were carried as a single combined balance, so the balance brought forward on the director's own account is £nil. The advances are interest free, unsecured and repayable on demand. No interest has been charged. The maximum amount outstanding during the year was £35,735. No guarantees have been entered into by the company on behalf of the director.
15.Share capital

16.Revaluation reserve
The revaluation reserve of £1,275,606 (2024: £1,275,606) comprises surpluses arising on the revaluation of investment property in earlier years and is not distributable.

17.Events after reporting date
The HM Revenue and Customs investigation described in the note on funds held by HM Revenue and Customs remained ongoing at the date of approval of these financial statements. The director has resolved that a review of the matters described in the notes on provisions for liabilities and tangible fixed assets, encompassing the corporation tax position on loans to connected persons and the carrying amount of fixtures and fittings, be undertaken in conjunction with the company's newly appointed accountants and reflected, to the extent required and by way of prior year adjustment if appropriate, in the financial statements for the year ending 28 August 2026. Interest may accrue on any corporation tax found to be due for periods before that review is concluded. These financial statements do not reflect any adjustments that may arise from that review.
18.Related party transactions
The company is controlled by D K Howell, its sole director and sole shareholder. During the year the company made advances to, received funds from, and met costs on behalf of, persons connected with the director and undertakings under common control. All balances are interest free, unsecured and repayable on demand unless otherwise stated. The brought forward related party balance of £209,422, previously carried as a single unanalysed account, was reallocated on 29 August 2024 between the individuals to whom the underlying transactions related, in accordance with the company's records and the director's instructions: £93,296 to Mr C Howell, brother of the director, £10,432 to the director (see the note on directors' advances) and £39,253 to an unallocated balance pending attribution, with £66,441 remaining attributable to Ms N Watts. Amounts due from connected persons at 28 August 2025 were: Mr C Howell £117,168 and Ms N Watts £90,000. An unallocated related party balance of £40,639 (2024: £nil), of which £39,253 relates to brought forward items, is included within debtors pending the director's attribution of the underlying transactions. No comparative analysis between individuals is presented, the prior year balance having been carried as a single account. Wages of £12,570 for the year were credited to the loan account of Ms N Watts. Owed by the company (2025, 2024): Tithebarn Gateway Ltd £1,879,439 (£1,879,639); Lofthaus Developments Ltd £863,210 (£862,110); Lobion Oil & Shipping Ltd £222,005 (£222,005); Bees Knees Development Ltd £91,657 (£91,657); Belgravia Construction Ltd £52,625 (£52,625); Global Capital Dev Ltd £32,275 (£32,275); Belgravia Family Ltd £4,700 (£100); total £3,145,911 (£3,140,411). Owed to the company (2025, 2024): Manchester First Development Limited £1,653,856 (£1,354,550); Pier House Development Limited £91,200 (£80,000); 20 Lord Street £6,100 (£nil); Global Wealth Partners £2,500 (£nil); Great Ancoats Development Limited £188 (£188); total £1,753,844 (£1,434,738). The amount due from Manchester First Development Limited is secured by a fixed charge in the company's favour, created on 13 June 2024, over properties at 31 to 39 Price Street and 120 to 122 Market Street, which ranks ahead of a subsequent charge granted over the same properties. During the year advances totalling £83,794 were made to connected persons through related undertakings and have been recognised in the balances above and in the connected persons' loan accounts, in accordance with the accounting records and the director's instructions. The balances due to Tithebarn Gateway Ltd and to Lofthaus Developments Ltd arose from transfers to the company of funds received by those undertakings by way of value added tax repayments, which are the subject of the investigation described in the note on funds held by HM Revenue and Customs.
