| 1. | Statutory information |
| N&G Property Holdings Ltd is a private company, limited by shares, incorporated in the United Kingdom and registered in England and Wales. |
| The company's registered number and registered office address can be found on the Company Information page. The financial statements are prepared in Sterling (£), which is the functional currency of the company. |
| The company was incorporated on 19 July 2024, and the financial statements are the period from 19 July 2024 to 31 March 2025. |
| 2. | Accounting policies |
| Basis of preparing the financial statements |
| These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. |
| Going concern |
| At the balance sheet date, the company had a net current liability position. At the time of signing these financial statements, the directors have considered the going concern position, including reviewing the annual budget and future cash flows, and consider that with the ongoing support of the shareholders, that the company will continue to trade for a period of at least 12 months from the date of signing these financial statements. |
| Preparation of consolidated financial statements |
| The company is the parent of a small group as defined by section 383 of the Companies Act 2006. The company has therefore taken advantage of the exemption from preparing consolidated financial statements available to small groups. |
| Financial instruments |
| The company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities such as trade and other debtors and creditors. |
| All financial assets and liabilities are initially measured at transaction price and subsequently measured at amortised cost. |
| For financial assets measured at cost less impairment, the impairment loss is measured as the difference between an asset's carrying amount and the best estimate of its recoverable amount, which is an approximation of the amount that the company would receive for the asset if it were to be sold at the balance sheet date. |

| Taxation |
| Taxation for the period comprises current and deferred tax. Tax is recognised in the Statement of Income and Retained Earnings, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. |
| Current or deferred taxation assets and liabilities are not discounted. |
| Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |
| Deferred tax |
| Deferred tax is recognised in respect of all timing differences that have originated but not reversed at balance sheet date. |
| Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year/period end and that are expected to apply to the reversal of the timing difference. |
| Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. |
| Cash and cash equivalents |
| Cash is represented by cash in hand and deposits within financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value. |

| 7. | Called up share capital |
| Upon incorporation on 19 July 2024, the company issued 1 Ordinary A share of £1 each, 1 Ordinary B share of £1 each and 2 Ordinary C shares of £1 each. |
| On 8 October 2024, an additional 655,999 Ordinary A shares, 655,999 Ordinary B shares and 327,998 Ordinary C shares were issued at par. |
| On 9 December 2024, the entire 656,000 Ordinary A shares were redesignated into 400,000 Ordinary A1 shares of £1 each and 256,000 Ordinary A2 shares of £1 each; the entire 656,000 Ordinary B shares were redesignated into 400,000 Ordinary B1 shares of £1 each and 256,000 Ordinary B2 shares of £1 each and the entire 328,000 Ordinary C shares were redesignated into 200,000 Ordinary C1 shares of £1 each, 64,000 Ordinary C2 shares of £1 each and 64,000 Ordinary D2 shares of £1 each. |
| Subsequently, on the same date, a written resolution by the members of the company resolved and agreed that the issued share capital of the company be reduced by cancelling and extinguishing all Ordinary A1 shares, all Ordinary B1 shares, all Ordinary B2 shares, all Ordinary C1 shares and all Ordinary C2 shares and returning all capital paid up on those shares to the holders of them. |
