The directors present their annual report and financial statements for the year ended 31 December 2025.

The company did not trade during the year.

The directors who held office during the year and up to the date of signature of the financial statements were as follows:

The company has made qualifying third party indemnity provisions for the benefit of its directors during the year. These provisions remain in force at the reporting date.

None of the directors had any interest in the share capital of the Company at the beginning and end of the year. The directors' interests in the share capital of the ultimate parent company are shown in the Directors' report of that company.

This report has been prepared in accordance with the provisions applicable to companies entitled to the small companies exemption.

For the financial year ended 31 December 2025 the company was entitled to exemption from audit under section 480 of the Companies Act 2006 relating to dormant companies.

The member has not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

The parent undertaking of the smallest group of undertakings for which group financial statements are drawn up and of which the company is a member is CP Holdings Limited, whose registered office is at CP House, Otterspool Way, Watford, WD25 8HR. Copies of these group financial statements are available to the public from Companies House, Crown Way, Cardiff, CF14 3UZ.

As at the balance sheet date the ultimate parent company was CP Holdings Ltd a company incorporated in England and Wales. Subsequent to the year end the ultimate parent company has changed and has become Greystone Holdings Ltd a company incorporated in the Isle of Man but managed and controlled in the UK. Despite this change, and in the opinion of the directors the ultimate controlling party continues to be the Gibbor and Schreier families.
