for the Period Ended 28 February 2026

In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the accounts of Ciel Healthtech Ltd for the period ended 28 February 2026 as set out on pages 4 to 10 from the company's accounting records and from information and explanations you have given us.

As a practising member firm of the Association of Chartered Certified Accountants, we are subject to its ethical and other professional requirements which are detailed at https://www.accaglobal.com/gb/en/member/standards/rules-and-standards/rulebook.html.

This report is made solely to the Board of Directors of Ciel Healthtech Ltd, as a body, in accordance with the terms of our engagement letter dated 25 September 2025. Our work has been undertaken solely to prepare for your approval the accounts of Ciel Healthtech Ltd and state those matters that we have agreed to state to the Board of Directors of Ciel Healthtech Ltd, as a body, in this report in accordance with the requirements of the Association of Chartered Certified Accountants as detailed at http://www.accaglobal.com/gb/en/technical-activities/technical-resources-search/2009/

For the financial period ending 28 February 2026 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

Director's responsibilities:

The members have not required the company to obtain an audit of its accounts for the period in question in accordance with section 476; and

The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime and FRS 102 ‘The Financial Reporting Standard Applicable in the UK and Republic of Ireland’.

All of the company’s members have consented to the preparation of an Abridged Profit and Loss Account and an Abridged Balance Sheet in accordance with Section 444(2A) of the Companies Act 2006.

Accounting policies

Summary of significant accounting policies and key accounting estimates

The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all the years presented, unless otherwise stated.

Statement of compliance

These abridged financial statements have been prepared in accordance with Financial Reporting Standard 102 Section 1A smaller entities - 'The Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland' and the Companies Act 2006 (as applicable to companies subject to the small companies' regime).

Basis of preparation

These abridged financial statements have been prepared using the historical cost convention except that as disclosed in the accounting policies certain items are shown at fair value.

Revenue recognition

Revenue represents amount receivable for services provided in the ordinary course of business, net of VAT and any discounts. Revenue is recognised when the company has performed its obligations under the relevant customer arrangement and the amount of revenue can be measured relaibly.

Foreign currency transactions and balances

Transactions in foreign currencies are translated into sterling at the exchange rate ruling at the date of the transaction. Monetary assets and liabilities denominated in foreign currencies at the reporting date are retransalted at the exchange rate ruling at that date. Exchange difference arising on settlement or retranslation are recognised in profit or loss.

Tax

The current tax charge is based on the taxable profit for the period. Taxable profit differs from the profit and loss reported in the accounts because it excludes items of income or expenses that are taxable or deductible in other periods and items that are never taxable or deductible. Current tax is measured using tax rates and laws that have been enacted or substantively enacted by the reporting date.

Deferred tax is recognised in respect of timing differences that have originated but not reversed at the reporting date where transactions or events that result in an obligation to pay more tax in the future, or a right to pay less tax in the future, have occurred at the reporting date.

Deferred tax assets are recognised only to the extent that it is regardsed as more likely that not that they will be recovered against the reversal of deferred tax liablities or other future taxable profits.

Intangible assets

Intangible fixed assets are stated at cost less accumulated amortisation and any accumulated impairment losses. Amortisation is charged so as to allocate the cost of intangible assets over their estimated useful economic lives and commence when the asset is avaible for use.

Development costs

Development expenditure is capitalised where it relates to an identifiable development project and it is probable that the project will generate future economic benefits, the company intends and is able to complete the development and use or sell the resulting asset, and the expenditure attributable to the project can be measured reliably.

Capitalised development expenditure relates to the development of the company's GeneralPractice.AI software platform. Development costs are carried at cost less accumulated amortisation and impairment losses. Amortisation commences when the development is complete and the asset is available for use.

Amortisation

Amortisation is provided on intangible assets so as to write off the cost, less any estimated residual value, over their useful life as follows: Amorisation commences when an esset is complete and available for use.

Capitalised development costs which are not yet complete or available for use are not amortised but are reviewed for impairment where there are indicators that the carrying amount may not be recoverable.

Cash and cash equivalents

Cash and cash equivalents comprise cash at bank and in hand and short-term highly liquid investments that are readily convertible to known amounts of cash and are subject to an insignificant risk of changes in value.

Trade debtors

Trade debtors are amounts due from customers for merchandise sold or services performed in the ordinary course of business.

Trade debtors are recognised initially at the transaction price. They are subsequently measured at amortised cost using the effective interest method, less provision for impairment. A provision for the impairment of trade debtors is established when there is objective evidence that the company will not be able to collect all amounts due according to the original terms of the receivables.

Trade creditors

Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Accounts payable are classified as current liabilities if the company does not have an unconditional right, at the end of the reporting period, to defer settlement of the creditor for at least twelve months after the reporting date. If there is an unconditional right to defer settlement for at least twelve months after the reporting date, they are presented as non-current liabilities.

Trade creditors are recognised initially at the transaction price and subsequently measured at amortised cost using the effective interest method.

Share capital

Ordinary shares are classified as equity. Equity instruments are measured at the fair value of the cash or other resources received or receivable, net of the direct costs of issuing the equity instruments. If payment is deferred and the time value of money is material, the initial measurement is on a present value basis.

Financial instruments

Classification
The company enters into basic financial instrument transactions that result in the recognition of financial assets and liabilties, including cash at bank, trade and other debtors and trade and other creditors.

Basic financial instruments are initially recognised at the transaction price and subsequently measured at amortised cost, unless the arrangement constitutes a financing transaction, in which case the transaction is measured at the present valued of the future receipts or payments discounted at market rate of interest.
