3. Disposal of Subsidiary and Additional Consideration
On 29 May 2026 the company disposed of its entire shareholding in Pup Up Cafe Limited. Fixed consideration amounted to £107,309.38. The sale agreement also provides for additional consideration based on the future EBITDA of Pup Up Cafe Limited. At 31 May 2026 the contractual right to this additional consideration has been recognised as a financial asset of £6,000, representing management's estimate of the transaction price attributable to the right. The final amount receivable is dependent on future trading performance in accordance with the terms of the sale agreement.
