Going concern
The Company designs, develops and operates Digital Solutions to address specific client engagement challenges on a Managed Service basis by combining its Consulting, Creative & UX Design, Gamification and Communications capabilities together with the innovative Motivait Technology Platform.
The Company operates as a 100% subsidiary of Motivait Holdings Limited. The progression of qualified opportunities into contracts and implemented solutions can imply extended timescales which therefore also requires high value skills and expertise in Client Services and Consultancy alongside the Sales, Marketing, Technical Support and Operational capabilities normally associated with a Managed Solution as a Service Provider.
During the year, the Group, decided to increase its investment in qualified individuals and resources in these fields to address potential market opportunities whilst also continuing to invest in process development and security to ensure that clients are able to rely confidently on its capabilities in these areas. As a result, during 2025, the business was once again successfully audited for compliance with the latest ISO 27001 standard for Information Security.
Since its initial introduction in 2017, the Motivait Technology Platform, which underpins all the solutions of the Group, has proven to be highly reliable, secure and scalable, operating with 100% availability whilst providing high-performance solutions support to over 50 million active users globally including peak interaction volumes in excess of 1,000,000 in a single day and 300 million a year.
2025 continued the trend of recent years in presenting significant challenges for many organisations with global political uncertainty, market turbulence and inflationary pressures that have inevitably impacted overall client confidence for new projects and investments. Whilst these economic pressures and global political uncertainty will undoubtedly remain throughout 2026 and beyond, it is clear that the Group has shown internationally that it has an attractive value proposition and a robust business model that has proven resilient to the most adverse conditions providing reasonable confidence of the potential within the UK for future growth and improved business performance.
Whilst the Company has received confirmation of the continued support of its sole shareholder, Motivait Holdings Limited, the Director has nevertheless carefully considered the ongoing market conditions and significant opportunities available together with the investment profile in Sales, Marketing and Client Services that will be appropriate for the strategic development of the business within the UK over the next few years. As a result, taking into account the strong financial performance of the Group, and fully cognisant of the cost and margin implications in the short term, the Director and Motivait Holdings Limited, as sole Shareholder, have decided to continue to strategically invest in the UK market and to therefore prepare the accounts on the going concern basis.
Related party exemption
The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.

Turnover
Revenue is recognised to the extent that it is probable that the economic benefits will flow to the Company and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. The following criteria must also be met before revenue is recognised:
Rendering of services
Revenue from a contract to provide services is recognised in the period in which the services are provided in accordance with the stage of completion of the contract when all of the following conditions are satisfied:
- the amount of revenue can be measured reliably;
- it is probable that the Company will receive the consideration due under the contract;
- the stage of completion of the contract at the end of the reporting period can be measured reliably; and
- the costs incurred and the costs to complete the contract can be measured reliably.
Tangible fixed assets
| Plant and machinery etc | - |
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses.
Impairment of assets
At each reporting date fixed assets are reviewed to determine whether there is any indication that those assets have suffered an impairment loss. If there is an indication of possible impairment, the recoverable amount of any affected asset is estimated and compared with its carrying amount. If estimated recoverable amount is lower, the carrying amount is reduced to its estimated recoverable amount, and an impairment loss is recognised immediately in profit or loss.
If an impairment loss subsequently reverses, the carrying amount of the asset is increased to the revised estimate of its recoverable amount, but not in excess of the amount that would have been determined had no impairment loss been recognised for the asset in prior years. A reversal of an impairment loss is recognised immediately in profit or loss.
Financial instruments
The company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities like trade and other accounts receivable and payable, loans from banks and other third parties, loans to related parties and investments on non-puttable ordinary shares.
Financial assets that are measured at cost and amortised cost are assessed at the end of each reporting period for objective evidence of impairment. If objective evidence of impairment is found, an impairment loss is recognised in profit or loss.
Taxation
A current tax liability is recognised for the tax payable on the taxable profit of the current and past periods. A current tax asset is recognised in respect of a tax loss that can be carried back to recover tax paid in a previous period.
Deferred tax is recognised in respect of all timing differences between the recognition of income and expenses in the financial statements and their inclusion in tax assessments.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities and other future taxable profits.
Deferred tax is measured using the tax rates and laws that have been enacted or substantively enacted by the reporting date and that are expected to apply to the reversal of the timing difference.
Current and deferred tax assets and liabilities are not discounted.
Employee benefits
Short term employee benefits, including contributions to defined contribution plans are recognised as an expense in the period in which they are incurred.
