For the year ending 31 August 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The director acknowledges his responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with the provisions of FRS 102 Section 1A - Small Entities. The profit and loss account has not been delivered to the Registrar of Companies.

Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities. There were no material departures from that standard.

Accounting policies
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
Basis of preparation
These accounts have been prepared under the historical cost convention, as modified by the revaluation of investment property, and in accordance with Section 1A of FRS 102, The Financial Reporting Standard applicable in the UK and Republic of Ireland, and the Companies Act 2006.
Presentation currency
The accounts are presented in £ sterling.
Investment property
Investment property is included at market fair value. Gains are recognised in the income statement. Deferred taxation is provided on these gains at the rate expected to apply when the property is sold.
Client Money
Rents are collected on the company's behalf by its managing agent and held in a ring-fenced client account until remitted; tenants' deposits are held under the Deposit Protection Service. Neither is an asset of the company, other than the amount collected but not yet remitted at the year end, which is included in trade debtors.
Going concern
Before the fair value gain on investment property and the associated deferred tax, the company made a loss which arose principally from finance costs including the one-off costs of redeeming the development bridging loan and refinancing onto a long-term mortgage completed on 17 July 2025. Following the refinance the company's financing cost is a fixed monthly instalments and the director considers that rental income from the now fully developed property, together with continuing financial support from the director and from companies under common control, will enable the company to meet its liabilities as they fall due for a period of at least twelve months from the date of approval of these accounts. On that basis the accounts have been prepared on the going concern basis.

Investment property is measured at fair value at each reporting date, with changes in fair value recognised in profit or loss. Deferred tax is provided on these gains at the rate expected to apply when the property is sold. Fair value at 1 September 2024: £574,352. Additions: £111,802. Fair value adjustment: £1,473,846. Fair value at 31 August 2025: £2,160,000. The investment property, 153c Kensington Road, Liverpool, was valued at £2,160,000 at 31 August 2025. The valuation reflects the completion of the development during the year and is consistent with the valuation obtained on the refinancing of the property in July 2025. The historical cost of the property at 31 August 2025 was £686,154 (2024: £574,352). Valued by an independent firm of chartered surveyors in connection with the refinancing.

The provision for deferred tax of £368,462 (2024: £nil) relates wholly to the fair value uplift on the company's investment property, measured at 25%.

Transactions with related parties
During the year the company charged management fees of £45,000 to companies under common control (£15,000 each to Saiga Property Ltd, ALKMAK Ltd and KSR & FKR Ltd). Property management and letting services were provided to the company by Mocha Property Management Ltd, a company controlled by a person connected with the director, which charged fees of £10,083 and recharged costs of £4,394 during the year. At 31 August 2025 the company was owed £1,434,642 by, and owed £407,724 to, companies under common control (see the debtors and creditors notes). All balances are unsecured and interest free. At 31 August 2025 the company also owed £27,342 (2024: £37,342) to the director; this balance is unsecured, interest free and repayable on demand. At no point during the year did the director owe any amount to the company.
