1. STATUTORY INFORMATION

Executive Benefit Services (UK) Limited is a private company, limited by shares , registered in Scotland. The company's registered number and registered office address can be found on the Company Information page.

2. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

The financial statements are prepared in sterling which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.

Critical accounting judgements and key sources of estimation uncertainty
Preparation of the financial statements requires management to make significant judgements and estimates. The material items in the financial statements where these judgements and estimates have been made include the estimation of the indemnity provision as well as in relation to accruals for client complaints.

Turnover
Turnover represents fees and other income derived from services rendered and commissions received, excluding value added tax.

Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off the cost less estimated residual value of each asset over its estimated useful life.
Plant and machinery etc - 33% on cost, 20% on cost and 15% on cost

Financial instruments
Debtors

Short term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

Creditors

Short term creditors are measured at the transaction price. Other financial liabilities are measured initially at fair value, net of any transaction costs, and are measured subsequently at amortised cost using the effective interest method.

Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

2. ACCOUNTING POLICIES - continued
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.

Going concern
At the time of approving the financial statements, the directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for the forseeable future. Thus the directors continue to adopt the going concern basis of accounting in preparing the financial statements.

Indemnity commission
Insurance commissions received on indemnity terms are credited to the profit and loss account when received and are stated net of any commissions repaid in the year.

Provision is made by the directors for the potential liability for repayment of this commission.

Hire purchase and leasing commitments
Assets obtained under hire purchase contracts or finance leases are capitalised in the balance sheet. Those held under hire purchase contracts are depreciated over their estimated useful lives. Those held under finance leases are depreciated over their estimated useful lives or the lease term, whichever is the shorter.

Rentals paid under operating leases are charged to the profit and loss account as incurred.

9. RELATED PARTY DISCLOSURES

As at 31 December 2025 the company is owed the sum of £546,418 (2024 £696,402) from group undertaking RTB Wealth Planning Limited. The amount due is interest free and has no fixed repayment date.

During the year ended 31 December 2025 dividends totalling £382,800 (2024 £280,140) were paid by Executive Benefit Services (UK) Limited to RTB Wealth Planning Limited by way of loan account transfer.

On 7 April 2017 Executive Benefit Services (UK) Limited granted former director, R McCann a floating charge over the whole of the property, assets and undertaking (including uncalled capital) from time to time of the company in respect of deferred consideration due by RTB Wealth Planning Limited.


10. ULTIMATE PARENT COMPANY

The ultimate parent company is RTB Wealth Planning Limited, a company incorporated in Scotland having its registered office at 25 Hope Street, Lanark ML11 7NE.

RTB Wealth Planning Limited is controlled by V Barr by virtue of her majority holding in that company.
