Director's benefits: advances, credits and guarantees
Included in the year end Other debtors balance is an amount owed by the director to the company of £196,436 (2024: £182,305). During the year, the director repaid the company £182,216 (2024: £75,477).The company made advances to a director amounting to £196,347 (2024: £207,061). The outstandingbalance is unsecured, repayable on demand and subject to interest at HMRC’s official interest rate.
Going concern
The financial statements have been prepared on the going concern basis, which assumes that the companywill continue in operational existence for the foreseeable future.
During the year the company recorded a profit of £174,143 (2024 as restated: loss of £44,277) on turnoverof £673,818 (2024 as restated: £471,465). At the balance sheet date, the company had net current assetsof £1,967,404 (2024 as restated: net current liabilities of £414,399) and creditors falling due within one yearof £67,852.
In making his assessment, the director considered the contract liability of £2,283,646 (restated 2024: £nil) inrespect of advance payments received from IPK Germany Property Mainpark Projektgesellschaft mbH (“IPKMainpark”) under a written appointment for architectural services, a company incorporated in Germany ofwhich Andreas Krause is a director and holds a 50% interest through his ownership of AKA Andreas KrauseGermany GmbH. This balance is not repayable in cash. It is not repayable on demand and does not fall duewithin twelve months; it is discharged as the related architectural services are performed, at which point it isreleased to fee income. During the year £511,724 was released to fee income in this way. No cash outflowis expected to arise in respect of this balance.
The company also holds a balance of £1,756,412 (2024: £1,515,457) receivable from IPK GermanyProperty Kaiserlei Projektgesellschaft mbH (“IPK Kaiserlei”) under a loan agreement, the terms of which areset out in the related party note below, a company incorporated in Germany of which Andreas Krause is adirector and in which he holds an indirect economic interest of 50% through an intermediate holdingcompany. The director expects this to be recovered from the substantial project assets held by IPKKaiserlei, the value of which he considers sufficient to cover the balance.
IPK Mainpark and IPK Kaiserlei are each owned in equal shares by interests of Andreas Krause and by athird party investor who is independent of the company.
On this basis the director has a reasonable expectation that the company has adequate resources tocontinue in operational existence for the foreseeable future and continues to adopt the going concern basis.

Related parties
Andreas Krause is a director of IPK Germany Property Mainpark Projektgesellschaft mbH (“IPK Mainpark”)and of IPK Germany Property Kaiserlei Projektgesellschaft mbH (“IPK Kaiserlei”), both companiesincorporated in Germany. In IPK Mainpark he holds a 50% interest through his ownership of AKA AndreasKrause Germany GmbH, and in IPK Kaiserlei he holds an indirect economic interest of 50% through anintermediate holding company.
IPK Mainpark. At the balance sheet date, the company held a contract liability of £2,283,646 (restated 2024:£nil) in respect of advance payments received from IPK Mainpark for architectural services to be performed.In the prior year this balance was classified as a loan (£2,153,254). During the year £511,724 (2024:£101,405) was recognised as fee income as the related services were completed, and £42,532 of furtheradvance payments was received. The balance is not repayable in cash and is not repayable on demandand is released to income as the related services are performed.
IPK Kaiserlei. At the balance sheet date, the company was owed £1,756,412 (2024: £1,515,457) by IPKKaiserlei. During the year the company received payments of £135,354 (2024: £76,046) from IPK Kaiserlei,interest of £30,054 (2024: £25,890) was accrued on the outstanding balance, and a foreign exchange gainof £75,458 (2024: £63,822) was recognised. The loan has a term of five years commencing 1 January 2022, with a mutual option to extend the repayment date. Interest is charged at 1.8% per annum, payableon repayment. The director expects the balance to be recovered from the substantial project assets held byIPK Kaiserlei.
AKA Andreas Krause Germany GmbH. At the balance sheet date, creditors due after more than one yearinclude loans of £43,654 (2024: £131,183) due to AKA Andreas Krause Germany GmbH, a companyincorporated in Germany. Andreas Krause is a director of the company and holds a 100% interest in AKA Andreas Krause Germany GmbH. The loans will, in the case of the company being liquidated, besubordinate to the claims of all other creditors.

Prior year accounts restated
During the year, the director reviewed the nature of amounts previously recognised as loans receivedfrom IPK Mainpark, together with the progress of the related architectural services. Following this review,the director concluded that, in substance, the arrangements did not represent loan financing. Instead, thepayments were determined to comprise, in part, consideration for services performed and, in part, advancepayments for services yet to be delivered.
Accordingly, the amounts received from IPK Mainpark have been reclassified to reflect their economicsubstance. The portion relating to services completed has been recognised as fee income in the period inwhich the services were performed, while the balance relating to future services has been recognised as acontract liability.
As a result of this reassessment, prior year figures have been restated. For the year ended 30 September 2024, a prior year adjustment has been recognised comprising an increase in fee income of £101,406, aforeign exchange adjustment of £58,655 (debit), and the reversal of previously recognised loan interest of £6,541 (debit).
The loan balance has been reduced by £249,673, of which £152,940 related to income earned in the yearended 30 September 2023. This amount has been recognised as an adjustment toopening retained earnings in the financial statements for the year ended 30 September 2024.
The prior year adjustment has had no impact on the company's corporation tax liability, asthe additional taxable income arising from the restatement was fully offset by brought forward tax lossesavailable for utilisation.
