| 2. | EXCEPTIONAL ITEMS |
| During the year the company acquired certain trade assets and goodwill from the liquidator of a predecessor business and entered into a settlement agreement in respect of certain historic obligations connected with that business. The directors consider these arrangements were undertaken for commercial reasons to facilitate continuation of the trade. Accordingly, the assets and goodwill have been recognised on the balance sheet and the settlement payments have been recognised as an exceptional item rather than additional acquisition consideration. |

| The above loan is interest free, repayable on demand and unsecured. |
| Included within other creditors is a loan from the other Director for £107,692 (2024: £131,208) which is interest free, repayable on demand and unsecured. |
| 5. | GOING CONCERN |
| The directors continue to support the company and have therefore continued to adopt the going concern basis of accounting in preparing the financial statements. |
| The directors acknowledge their responsibilities for: |
| (a) | ensuring that the company keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 and |
| (b) | preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of each financial year and of its profit or loss for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the company. |
