Introduction
 
The director presents their strategic report for the year ended 30 November 2025.

Business review
 
The principal activity of the Company is e-money issuing and provision of acquiring services. The Company is authorised and regulated by the Financial Conduct Authority (FCA) in the UK.

Principal risks and uncertainties
 
The process of risk management is addressed through a framework of policies, procedures and internal controls. Compliance with regulations, legal and ethical standards is a priority for the Company. A detailed analysis of risks applicable is set out below.
Financial Risks:
- Liquidity Risk: The Company needs to ensure it has sufficient liquidity to meet capital requirements. The Company maintains appropriate liquidity buffers and closely monitors liquidity positions.
- Credit Risk: Minimal credit terms are given to all customers.
- Currency Risk: The company is dealing with multiple currencies, exchange rate fluctuations can impact the value of the Company’s position. The Company closely monitors the fluctuations to ensure that conversion of currency takes place at the most suitable rates to minimise the exposure.
Operational Risks:
- Technology and IT Risks: The Company is potentially exposed to system failures, cyberattacks, and technical glitches which in principle can disrupt operations. However, the Company invests in robust IT infrastructure, cybersecurity measures, and disaster recovery plans, as well as periodic third-party audits of its systems.
- Fraud and Security Risks: To mitigate the risk of fraudulent activities, such as unauthorised access or transaction fraud, the Company implements strong authentication protocols and fraud detection systems.
Compliance and Regulatory Risks:
- AML and KYC Compliance: Non-compliance with anti-money laundering and know-your-customer regulations can lead to legal actions and reputational damage. Thus, the Company has established robust AML and KYC procedures, it conducts thorough customer due diligence, and keeps up to date with regulatory changes.
- Data Privacy: Mishandling customer data can result in regulatory penalties and loss of customer trust. The Company adheres to data protection regulations, encrypts sensitive data, and implements privacy safeguards.
- Regulatory Changes: The Company stays informed about regulatory developments, engages with regulators, and adapts compliance processes accordingly.
Market and Competitive Risks:
- The Company continuously monitors market trends, innovates to stay competitive, and diversifies services if necessary. The Company prioritises risk identification, assessment, and the development of tailored strategies to manage and mitigate each specific risk it faces.

Financial key performance indicators
 
The operating environment remained challenging throughout the year. The Company has recorded a loss of £166,623 (2024: Loss of £53,886). Shareholders’ funds decreased from £349,969 at the start of the period to £310,570 at 30/11/2025 the movement reflecting the year’s trading loss offset by a capital contribution of £127,224 received from the shareholder during the year.

Future developments include growing the payment and electronic money services offered to its clients, expanding the customer base, and continued disciplined management of processing costs.

Director's statement of compliance with duty to promote the success of the Company
 
ETA MONEY LIMITED has a single shareholder who is also the sole director of the Company, Mr. Olgart Nikita. Accordingly, the Board of Directors consists of one director who is responsible for determining the Company's strategic direction, overseeing its operations and making all principal business decisions.
In carrying out his duties under Section 172 of the Companies Act 2006, the director considers the long-term success of the Company and the interests of those parties who may be affected by the Company's activities. Given the Company's ownership structure, the Company's primary stakeholder is its sole shareholder, who is also the sole director.
The director maintains regular oversight of the Company's activities and, where relevant, takes into consideration the interests of regulators, banking and payment infrastructure partners, the Card Schemes and other key business counterparties when making significant strategic decisions. Such engagement is carried out through ongoing operational activities, contractual relationships, and regular communications.
The Company operates a Compliance Framework designed to ensure that regulatory, anti-money laundering and financial crime considerations are appropriately incorporated into its decision-making processes. Matters falling within the scope of this framework are considered with the mandatory involvement of the Company's Money Laundering Reporting Officer (MLRO), who provides independent compliance oversight and recommendations in accordance with the Company's internal governance arrangements. The MLRO is not a member of the Board of Directors, and responsibility for all strategic and principal business decisions remains solely with the director.
The director considers that the Company's governance arrangements are appropriate and proportionate to its current size, ownership structure, nature of operations and stage of development. This governance framework enables efficient decision-making while ensuring that regulatory obligations, stakeholder considerations and the long-term interests of the Company are appropriately taken into account. The director will continue to review these arrangements periodically to ensure that they remain appropriate as the Company's business grows and evolves.

Principal activity

ETA Money is authorised and regulated by the Financial Conduct Authority (FCA) under Electronic Money Regulations (EMR) to operate as an authorised e-money issuer.

Results and dividends

The loss for the year, after taxation, amounted to £166,623 (2024 - loss £53,886).

Going concern
The financial statements have been prepared on the going concern basis.
In assessing the Company's ability to continue as a going concern, the Director has considered the Company's financial position, liquidity, cash flow forecasts, working capital requirements and strategic business plans for the period of at least twelve months from the date of approval of these financial statements.
During the year, the Company generated revenue of £182,220 (2024: £241,338) and incurred a loss of £166,623 (2024: loss of £53,886). At 31 December 2025, the Company had net current assets of £310,570 (2024: £349,969).
The Company continues to develop and expand its payment services, e-money and card issuing activities. Management has continued to invest in product development, banking integrations and operational infrastructure in support of its long-term growth strategy. The Company has established active customer relationships that generate recurring revenues and expects further growth in transaction volumes, customer acquisition and product utilisation as its services continue to be developed and commercialised.
The Director has prepared cash flow forecasts covering a period of at least twelve months from the date of approval of these financial statements. These forecasts indicate that the Company may require continued financial support from the Director and ultimate shareholder until the business achieves sustainable revenue growth and generates sufficient positive cash flows from operations to fund its activities and meet its obligations as they fall due. The forecasts are dependent upon the successful execution of the Company's business plan and the achievement of forecast trading levels.
The Director and ultimate shareholder has provided written confirmation of their willingness and ability to provide ongoing financial support to the Company, including additional capital contributions where necessary.
Whilst the Director believes that the assumptions underlying the forecasts are reasonable, the Company's continued reliance on future business growth and ongoing financial support from the Director and ultimate shareholder indicates the existence of a material uncertainty that may cast significant doubt on the Company's ability to continue as a going concern.
Nevertheless, after considering the forecasts, available resources and the confirmed support of the Director and ultimate shareholder, the Director has a reasonable expectation that the Company will have adequate resources to continue in operational existence for the foreseeable future. Accordingly, the financial statements have been prepared on the going concern basis.
The financial statements do not include any adjustments that would result if the Company were unable to continue as a going concern.

Director's responsibilities statement

The director is responsible for preparing the Strategic Report, the Director's Report and the financial statements in accordance with applicable law and regulations.
Company law requires the director to prepare financial statements for each financial year. Under that law the director has elected to prepare the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice), including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland'. Under company law the director must not approve the financial statements unless he is satisfied that they give a true and fair view of the state of affairs of the Company and of the profit or loss of the Company for that period.
 In preparing these financial statements, the director is required to:
- select suitable accounting policies for the Company's financial statements and then apply them consistently;
- make judgments and accounting estimates that are reasonable and prudent;
- state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements;
- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Company will continue in business.
The director is responsible for keeping adequate accounting records that are sufficient to show and explain the Company's transactions and disclose with reasonable accuracy at any time the financial position of the Company and to enable him to ensure that the financial statements comply with the Companies Act 2006. He is also responsible for safeguarding the assets of the Company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Charitable and political contributions 
During the year the company made no charitable donations (2024: £nil). There were no political contributions during the year (2024: £nil).

Disclosure of information to auditors

The director at the time when this Director's Report is approved has confirmed that:

We have audited the financial statements of ETA Money Limited (the 'Company') for the year ended 30 November 2025, which comprise the Statement of Comprehensive Income, the Statement of Financial Position, the Statement of Changes in Equity, the Statement of Cash Flows and the related notes, including a summary of significant accounting policiesThe financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).


In our opinion the financial statements:


give a true and fair view of the state of the Company's affairs as at 30 November 2025 and of its loss for the year then ended;
have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
have been prepared in accordance with the requirements of the Companies Act 2006.


Basis for opinion


We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the Company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the United Kingdom, including the Financial Reporting Council's Ethical Standard and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.


Material uncertainty related to going concern


We draw attention to Note 2.2 to the financial statements, which explains that the Company continues to operate in a growth and development phase and incurred a loss of £166,623 during the year ended 31 December 2025 (2024: loss of £53,886). As described in Note 2.2, the Company's ability to continue as a going concern is dependent upon the successful execution of its business plan, including growth in transaction volumes and revenues, and may require continued financial support from the Director and ultimate shareholder until the business achieves sustainable revenue growth and generates sufficient positive cash flows from operations.
These matters, together with the other matters described in Note 2.2, indicate the existence of a material uncertainty that may cast significant doubt on the Company's ability to continue as a going concern. Our opinion is not modified in respect of this matter.


In auditing the financial statements, we concluded that the Director's use of the going concern basis of accounting in the preparation of the financial statements is appropriate. Our evaluation of the Director's assessment of the Company's ability to continue as a going concern included enquiries of management, review of cash flow forecasts and business plans, consideration of post year-end financial performance, assessment of the assumptions underpinning forecast revenue growth, and review of evidence supporting the Director's and ultimate shareholder's commitment to provide ongoing financial support.

adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or

Responsibilities of directors

Auditors' responsibilities for the audit of the financial statements
 

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditors' Report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.


Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

We performed risk assessment procedures and obtained an understanding of the Company and its environment, the applicable financial reporting framework, the applicable laws and regulations, the Company’s system of internal control and the fraud risk factors relevant to the Company that affect the susceptibility of assertions to material misstatement due to fraud. We made enquiries with management regarding actual or suspected fraud, non-compliance with laws and regulations, potential litigation and claims. The engagement partner led a discussion among the audit team with particular emphasis on how and where the Company’s financial statements may be susceptible to material misstatement due to fraud, including how fraud might occur. The engagement partner assessed that the engagement team collectively had the appropriate competence and capability to identify or recognise non-compliance with laws and regulations.
We considered compliance with UK Companies Act 2006, the Financial Conduct Authority Handbook and the applicable tax legislation as the key laws and regulations which non-compliance could directly lead to material misstatement due to fraud at the financial statement level. We evaluated whether the selection and application of accounting policies by the Company may be indicative of fraudulent financial reporting. Our audit procedures responsive to assessed risks of material misstatement due to fraud at the assertion level included but were not limited to:
- Testing the appropriateness of manual journal entries recorded in the general ledger and other adjustments made in the preparation of the financial statements;
- Making inquiries of individuals involved in the financial reporting process about inappropriate or unusual activity relating to the processing of journal entries;
- Selecting and testing journal entries and other adjustments made at the end of a reporting period and throughout the period;
- Reviewing accounting estimates for biases that could represent a risk of material misstatement due to fraud;
- Reading key correspondence with regulatory authorities such as the Financial Conduct Authority (FCA).
Owing to the inherent limitations of an audit, there is an unavoidable risk that some material misstatements of the financial statements due to irregularities, including fraud, may not be detected, even though we have properly planned and performed our audit in accordance with the auditing standards. For example, the further removed non- compliance with laws and regulations is from the events and transactions reflected in the financial statements, the less likely we would become aware of it. In addition, as with any audit, there remains a higher risk of non-detection of irregularities, as they may involve collusion, forgery, intentional omissions, or override of internal controls.

General information

ETA Money Limited is a private company, limited by shares, registered in England and Wales, registration number 11061003. The registered office is City road spaces, City road, The Epworth, 25 City road, London, EC1Y 1AA.

2.Accounting policies

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.

The following principal accounting policies have been applied:

Going concern

The financial statements have been prepared on the going concern basis.
In assessing the Company's ability to continue as a going concern, the Director has considered the Company's financial position, liquidity, cash flow forecasts, working capital requirements and strategic business plans for the period of at least twelve months from the date of approval of these financial statements.
During the year, the Company generated revenue of £182,220 (2024: £241,338) and incurred a loss of £166,623 (2024: loss of £53,886). At 31 December 2025, the Company had net current assets of £310,570 (2024: £349,969).
The Company continues to develop and expand its payment services, e-money and card issuing activities. Management has continued to invest in product development, banking integrations and operational infrastructure in support of its long-term growth strategy. The Company has established active customer relationships that generate recurring revenues and expects further growth in transaction volumes, customer acquisition and product utilisation as its services continue to be developed and commercialised.
The Director has prepared cash flow forecasts covering a period of at least twelve months from the date of approval of these financial statements. These forecasts indicate that the Company may require continued financial support from the Director and ultimate shareholder until the business achieves sustainable revenue growth and generates sufficient positive cash flows from operations to fund its activities and meet its obligations as they fall due. The forecasts are dependent upon the successful execution of the Company's business plan and the achievement of forecast trading levels.
The Director and ultimate shareholder has provided written confirmation of their willingness and ability to provide ongoing financial support to the Company, including additional capital contributions where necessary.
Whilst the Director believes that the assumptions underlying the forecasts are reasonable, the Company's continued reliance on future business growth and ongoing financial support from the Director and ultimate shareholder indicates the existence of a material uncertainty that may cast significant doubt on the Company's ability to continue as a going concern.
Nevertheless, after considering the forecasts, available resources and the confirmed support of the Director and ultimate shareholder, the Director has a reasonable expectation that the Company will have adequate resources to continue in operational existence for the foreseeable future. Accordingly,

The financial statements do not include any adjustments that would result if the Company were unable to continue as a going concern.

Foreign currency translation

Functional and presentation currency

The Company's functional currency is Euro. This differs from the presentational currency which is GBP

Transactions and balances

Foreign currency transactions are translated into the functional currency using the spot exchange rates at the dates of the transactions.

At each period end foreign currency monetary items are translated using the closing rate. Non-monetary items measured at historical cost are translated using the exchange rate at the date of the transaction and non-monetary items measured at fair value are measured using the exchange rate when fair value was determined.

2.4

Revenue

Revenue is recognised to the extent that it is probable that the economic benefits will flow to the Company and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. The following criteria must also be met before revenue is recognised:

Rendering of services

Revenue from a contract to provide services is recognised in the period in which the services are provided in accordance with the stage of completion of the contract when all of the following conditions are satisfied:
the amount of revenue can be measured reliably;
it is probable that the Company will receive the consideration due under the contract;
the stage of completion of the contract at the end of the reporting period can be measured reliably; and
the costs incurred and the costs to complete the contract can be measured reliably.

Transactional income represents revenue generated from various financial transactions conducted by customers and is recognised when the relevant transaction takes place. Account maintenance income represents the revenue generated from opening, managing and maintaining customer accounts.
The Company generates revenue primarily from fees associated with the provision of electronic money institution (EMI) services. The principal categories of revenue are as follows:
Account Fees
Account fees represent charges for the provision and ongoing maintenance of customer payment accounts. These fees include account maintenance charges together with fees for additional account-related services, such as the provision of account statements, confirmation letters, account certificates and other value-added administrative services requested by customers.
Card Fees
Card fees comprise charges relating to the issuance, replacement and ongoing servicing of payment cards. In addition, the Company may receive interchange income and other issuer-related remuneration from the relevant international card schemes in accordance with their applicable operating rules.
Foreign Exchange (FX) Fees
Revenue is earned through service commissions charged for facilitating customer currency conversion transactions executed via the Company's banking and liquidity partners. The Company does not operate as a foreign exchange broker or market maker and does not undertake proprietary foreign exchange trading activities. 
Payment Fees
Payment fees comprise transaction-based charges earned for processing inbound and outbound payment transactions executed through customer payment accounts. These include fees associated with domestic and international payment transfers, account-to-account transactions and the use of banking payment rails. These fees relate solely to payment execution and payment account transaction services and do not include merchant acquiring or card acceptance services.

Revenue (continued)

Revenue from the above services is recognised in accordance with the Company's accounting policies when the relevant services have been performed and the Company's performance obligations to the customer have been satisfied.

Operating leases: the Company as lessee

Rentals paid under operating leases are charged to profit or loss on a straight-line basis over the lease term.

Cash and cash equivalents

Cash is represented by cash in hand and deposits held with regulated financial institutions. Cash held in trust for customers is held in safeguarded bank accounts under the requirements of the FCA Electronic Money Regulations 2011 and are subject to separate mandates agreed and governed by the company together with the company's bankers in order to segregate such funds from other company assets.

Trade and other debtors

Trade and other debtors are initially recognised at the transaction price and thereafter stated at amortised cost using effective interest method, less impairment losses for bad and doubtful debts except where the effect of discounting would be immaterial. In such cases, the debtors are stated at cost less impairment losses for bad and doubtful debts.

Trade and other creditors

Trade and other creditors are initially recognised at fair value and thereafter stated at amortised cost using the effective interest method unless the effect of discounting would be immaterial, in which cases they are stated at cost.

  
2.9

Segregated account funds

Segregated account funds represent amount held in segregated bank accounts, which represent funds held on behalf of consumers and merchants. These segregated bank accounts are segregated from operating funds. In compliance with the segregating provisions within the Financial Conduct Authority (“FCA”) and Payment Services Regulations 2017, the company is required to safeguard funds which are received from consumers and merchants which have not yet been disbursed to the intended recipient. The Company has chosen to present the segregated funds as on-balance sheet items.

Client monies

Client monies of Nil (2024: Nil) is segregated from the Company’s own monies and is included in cash at bank and in hand during the year.

2.11

Pensions

Defined contribution pension plan
The Company operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the Company pays fixed contributions into a separate entity. Once the contributions have been paid the Company has no further payment obligations. 
The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Balance Sheet. The assets of the plan are held separately from the Company in independently administered funds.

Taxation

Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.

The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the reporting date in the countries where the Company operates and generates income.

Capital contributions

Capital contributions are treated as part of equity in these financial statements. These contributions increase the company's equity without the issuance of the additional shares. Contributions should be recognised at fair value on the date of the receipt. For non-cash contributions, the fair value should be reliably measured (e.g. market value or an appraisal).
Contributions are recognised when the assets or funds are received and there is no obligation to return them.

Judgments in applying accounting policies and key sources of estimation uncertainty

Bad debt provision
At each reporting date, the Company reviews the receivables to assess whether an impairment loss should be recorded in the statement of comprehensive income.
Impairment of receivables is assessed individually for each receivable. Impairment is calculated on an individual basis depending on delinquencies and case specific analysis. When assessing the requirement for such a provision, management consider factors including the current credit rating of the customer, the ageing profile of the debt and previous experience.

Auditor limitation liability agreement

An auditors' limitation of liability agreement has been approved by the members for the financial year ended 30 November 2025. The principal terms and conditions are as below:
- The agreement limits the amount of any liability owed to the company by the auditors in respect of any negligence default, breach of duty or breach of trust, occurring in the course of audit of the company's accounts and pursuant to this agreement the auditor maybe guilty in relation to the company.
- The agreement stipulates the maximum aggregated amount payable in event of any of the circumstances listed above.

Post balance sheet events

In December 2025, after the balance sheet date, the Company closed its operating and segregated EUR accounts held with European Merchant Bank. The closing balances on those accounts of £119,062 and £96,445 respectively were transferred to the Company’s accounts held with Narvi Payments Oy Ab and Revolut Ltd as part of a wider streamlining of the Company’s banking relationships. The closure of the European Merchant Bank accounts is a non-adjusting event in accordance with FRS 102 Section 32. The transferred balances continue to be held in cash at bank with regulated financial institutions and the directors have considered the closure in their going concern assessment (refer note 2.2).
There have been no other significant events affecting the Company since the year end.
