| 1. | STATUTORY INFORMATION |
| Agile Applications Limited is a private company, limited by shares, registered in England and Wales. The company's registered number is 07443094 and its registered address is Christian Douglass Accountants Limited, 2 Jordan Street, Knott Mill, Manchester, M15 4PY. |
| 2. | ACCOUNTING POLICIES |
| Basis of preparing the financial statements |
| The directors have assessed the Company's ability to continue as a going concern for a period of at least twelve months from the date of approval of these financial statements. |
| At the balance sheet date, the Company had net liabilities of £1.6 million and reported a loss for the year of £0.4 million. The net liabilities position primarily reflects funding provided through intercompany balances which totalled £2.6 million at the year end. The intercompany balances are not expected to be settled within the going concern assessment period. |
| The directors have reviewed forecasts and cash flow projections covering the going concern assessment period and have considered the financial resources available to the Company. The Company is part of a wider group of companies and continues to receive financial support from its parent undertaking. The directors have received confirmation from the parent undertaking of its intention to provide such financial support as may be required for a period of at least twelve months from the date of approval of these financial statements. |
| Having considered the forecasts, available cash resources and the support available from the wider Group, the directors have a reasonable expectation that the Company has adequate resources to continue in operational existence and meet its liabilities as they fall due for the foreseeable future. |
| Accordingly, the directors continue to adopt the going concern basis of accounting in preparing these financial statements. |
| Turnover |
| Turnover represents the amount derived from ordinary activities, and stated after trade discounts, other sales taxes and value added tax, except in respect of service contracts where turnover is recognised when the company obtains the right to consideration. In respect of the latter, turnover represents a proportion of total expected contract revenue compared to actual costs incurred to the balance sheet date, calculated to represent the forecast margin expected on completion of the contract. The resultant provisions for unbilled income or income billed in advance are included in debtors and creditors respectively, as amounts recoverable on contracts and accrued expenses. |

| Intangible assets |
| Intangible assets are initially measured at cost. After initial recognition, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses. |

| Development costs |
| Development of products is capitalised when it meets the following conditions: |
| i) It is technically feasible to complete the research or development so that the product will be available for use or sale. |
| ii) It is intended to use or sell the product being developed. |
| iii) The Company is able to use or sell the product. |
| iv) It can be demonstrated that the product will generate probable future economic benefits. |
| v) Adequate technical, financial and other resources exist so that product development can be completed and subsequently used or sold. |
| vi) Expenditure attributable to the research and development work can be reliably measured. |
| All other research and development expenditure is recognised as an expense in the period in which it is incurred. |
| Capitalised development expenditure is stated at cost less accumulated amortisation and impairment losses. |
| Tangible fixed assets |
| Plant and machinery etc | - |
| Tangible fixed assets are stated at historical invoice cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure directly attributable to bringing the asset to the location and condition necessary for operation by the company. |
| Taxation |
| Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. |
| Current or deferred taxation assets and liabilities are not discounted. |
| Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |
| Deferred tax |
| Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date. |
| Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference. |
| Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. |
| Pension costs and other post-retirement benefits |
| The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate. |
