General information

Roslin Cell Sciences Limited is a private limited company incorporated in Scotland. The registered office is Roslin Innovation Centre Charnock Bradley Building, Easter Bush Campus, Midlothian, Scotland, EH25 9RG.

2.Accounting policies

 
2.1

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.

The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgment in applying the Company's accounting policies.

The following principal accounting policies have been applied:

Financial reporting standard 102 - reduced disclosure exemptions

The company has taken advantage of the following disclosure exemptions in preparing these financial statements, as permitted by the FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland":
 
the requirements of Section 7 Statement of Cash Flows;
the requirements of Section 3 Financial Statement Presentation paragraph 3.17(d);
the requirements of Section 33 Related Party Disclosures paragraph 33.7.

 
2.3

Going concern

The directors, having made due and careful enquiry and preparing forecasts, are of the opinion that the company has adequate working capital to execute its operations over the next 12 months. The company has received assurances and confirmation of support from its shareholders that they will continue to provide support to enable it to meet its obligations as they fall due and operate as a going concern. The directors, therefore, have made an informed judgement, at the time of approving the financial statements, that the company has adequate resources to continue in operational existence for the foreseeable future. As a result, the directors have continued to adopt the going concern basis of accounting in preparing the annual financial statements.


 
2.4

Turnover

Turnover respresents amounts receivable from commercial contracts and grant income.

Income on commercial contacts is recognised to reflect the proportion of work completed at the balance sheet date, and calculated on a prudent basis by recording turnover and related costs as contract activity progresses.

Revenue grants are treated as deferred income and are credited to the profit and loss account so as to match against the expenditure towards which they are intended to contribute.

 
2.5

Finance costs

Finance costs are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.

2.6

Taxation

Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.

The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the balance sheet date in the countries where the Company operates and generates income.


 
2.7

Debtors

Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment.

 
2.8

Creditors

Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method.

The Company has no employees other than the directors, who did not receive any remuneration (2024 - £NIL).

Reserves

Profit and loss reserve

Profit and loss reserves are the cumulative net profits or losses in the statement of comprehensive income. Movement on these reserves are set out in the statement of changes in equity.

Other reserves

Other reserves relate to capital contributions in a prior year, resulting from the difference between the market value of assets sold and amounts receivable under finance lease receivables.

On conclusion of the lease in the year this reserve was credited to the profit and loss reserve.

Related party transactions

The company has taken advantage of the exemptions within Financial Reporting Standard 102, section
33.1A (Related Party Disclosure) which allows exemption from the disclosure of related party transactions
with other wholly owned group companies.

Controlling party

The directors regards Censo Biotechnologies Limited, a company incorporated in Scotland, as the parent company. The financial statements of Censo Biotechnologies Limited are available at its registered office, Roslin Innovation Centre, Charnock Bradley Building, Easter Bush Campus, Edinburgh, EH25 9RG.

Auditor's information

The auditor's report on the financial statements for the year ended 31 December 2025 was unqualified.

The audit report was signed on 13 August 2026 by Andrew Shaw (Senior statutory auditor) on behalf of AAB Audit & Accountancy Limited.
