1. STATUTORY INFORMATION

Tapflo (UK) Limited is a private company, limited by shares , registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.

The presentation currency of the financial statements is the Pound Sterling (£).


2. STATEMENT OF COMPLIANCE

These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" including the provisions of Section 1A "Small Entities" and the Companies Act 2006.

3. ACCOUNTING POLICIES

Basis of preparing the financial statements
The financial statements have been prepared under the historical cost convention.

Turnover
Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.

Goodwill
Goodwill, being the amount paid in connection with the acquisition of a business in 2024, is being amortised evenly over its estimated useful life of ten years.

Intangible assets
Intangible assets are initially measured at cost. After initial recognition, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses.

Patents and licences are being amortised evenly over their estimated useful life of ten years.

Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life or, if held under a finance lease, over the lease term, whichever is the shorter.
Plant and machinery - 15% on reducing balance
Fixtures and fittings - 15% on reducing balance
Motor vehicles - 25% on reducing balance
Computer equipment - 15% on reducing balance

All fixed assets are initially recorded at cost.

Stocks
Stocks and work in progress are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items.

Cost is calculated using the first-in, first-out method and includes all purchase, transport, and handling costs in bringing stocks to their present location and condition.

Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

Foreign currencies
Assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result.

Hire purchase and leasing commitments
Assets obtained under hire purchase contracts or finance leases are capitalised in the balance sheet. Those held under hire purchase contracts are depreciated over their estimated useful lives. Those held under finance leases are depreciated over their estimated useful lives or the lease term, whichever is the shorter.

The interest element of these obligations is charged to profit or loss over the relevant period. The capital element of the future payments is treated as a liability.

Pension costs and other post-retirement benefits
The company operates a defined contribution pension scheme. Contributions payable to the company's pension scheme are charged to profit or loss in the period to which they relate.

Financial instruments
Financial instruments are classified and accounted for, according to the substance of the contractual arrangement, as either financial assets, financial liabilities or equity instruments. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities.

Operating lease agreements
Rentals applicable to operating leases where substantially all of the benefits and risks of ownership remain with the lessor are charged against profits on a straight line basis over the period of the lease.

Contract revenue and work-in-progress
Contract revenue is recognised when the revenue can be separated from the sale of goods and the outcome of the contract can be estimated reliably. Costs initially incurred securing the contract are expensed to the profit and loss account.

The extent to which contract revenue is recognised is dependent upon the stage of completion. The company recognises revenue based on the physical proportion of the contact completed. At such time this cannot be measured reliably, the company recognises revenue at the point at which a contract has reached completion and the costs and benefits of the product and service sold are passed on to the customer.

Amounts due from customers for contract work is recorded as work-in-progress and included within stock.

Amounts due to customers for contract work is recorded as deferred income and included in trade and other creditors.

13. OTHER FINANCIAL COMMITMENTS

Total future financial commitments, guarantees and contingencies which are not included in the balance sheet amount to £245,146.

Leases cancelled early following the year end result in a £8,182 decrease in future lease commitments.

15. RELATED PARTY DISCLOSURES

The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 Section 1A 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with group companies where any subsidiary that is a party to the transaction is wholly owned within the group or where transactions have been undertaken under normal market conditions.

Invoices totalling £29,546 (2024: £165,112) were raised to subsidiaries in the same group. The amount outstanding at the balance sheet date was £441 (2024: £1,259), included in trade and other debtors.

Invoices totalling £164,576 (2024: £265,571) were received from subsidiaries in the same group. The amount outstanding at the balance sheet date was £43,975 (2024: £11,081), included in trade and other creditors.

At the balance sheet date £4,112 (2024: £0) was due to subsidiaries in the same group as this entity. This balance was included within other creditors and is interest free and repayable on demand.

At the balance sheet date £1,927 (2024: £382,627) was outstanding from subsidiaries in the same group as this entity. This balance is included within other debtors and is interest free and repayable on demand.

Invoices totalling £28,137 (2024: £21,072) were raised to entities under common control of the directors. The amount outstanding at the balance sheet date was £604 (2024: £5,575), included in trade and other debtors.

Invoices totalling £4,050 (2024: £169,939) were received from entities under common control of the directors. The amount outstanding at the balance sheet date, included in other debtors, was £nil (2024: £8,403).

There were no outstanding loan balances due from entities under common control at the year end (2024: £nil).

Invoices totalling £52,000 (2024: £48,000) were received from a company which is associated with key management personnel, in respect of marketing services.

During the previous year the company sold a vehicle to a director for the value of £15,000.

During the previous year the company acquired the trade and assets of a Limited Liability Partnership controlled by the company's parent company and directors. The consideration for this transaction was £590,000.
