For the year ended 31 December 2025 the Company was entitled to exemption from audit under section 480 of the Companies Act 2006.

Members have not required the Company to obtain an audit for the year in question in accordance with section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

The financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime and in accordance with the provisions of FRS 102 Section 1A - small entities.

The financial statements have been delivered in accordance with the provisions applicable to companies subject to the small companies regime.

The Company has opted not to file the statement of comprehensive income in accordance with provisions applicable to companies subject to the small companies' regime.

General information

P1vital Limited is a private limited company incorporated in England & Wales. The registered office is Manor House, Howbery Park, Wallingford, Oxfordshire, OX10 8BA.

The Company did not undertake any trading activities during the year. Following the transfer of its trade and assets to its parent undertaking in the previous financial year, the Company's activities were limited to the collection and settlement of outstanding balances.

The significant accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all years presented unless otherwise stated.

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

 
2.2

Going concern

The company did not trade during the year and holds no assets or liabilities other than its issued share capital and retained earnings reserves.

The directors intend to apply for the Company to be struck off and dissolved and, accordingly, the financial statements have not been prepared on a going concern basis.

Judgments in applying accounting policies and key sources of estimation uncertainty

In applying the company’s accounting policies, the directors are required to make judgements, estimated and assumptions regarding the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors, including expectations of future events that are believed to be reasonable under the circumstances. Although these estimates are based on management’s best knowledge of the amount, event or actions, actual results may differ from those estimates.

Related party transactions

In accordance with paragraph 33.1A of FRS 102, the company has not disclosed transactions between members of the same group where any subsidiary involved is wholly owned by another group member. This exemption is permitted because such transactions occur within a wholly owned group and are therefore considered to have no impact on the fair presentation of the financial statements.

Controlling party

The company is a wholly owned subsidiary of P1vital Products Limited.

P1vital Products Limited is controlled by J A Kingslake and Dr G R Dawson, who are considered the company’s ultimate beneficial owners.
