The directors present their strategic report of the company and the group for the year ended 31 March 2026.

REVIEW OF BUSINESS
Following the successful acquisition and integration of Go Plant in FY25, FY26 was a year of business development and organic growth. This has further solidified our position as the United Kingdom's largest dedicated road sweeping company, with additional steps also taken as part of our wider strategy to grow our tanker and waste management services nationwide.

Turnover increased by 21% to £39.9 million, benefiting from a number of new customer wins and growth with existing customers. We also continued to strengthen our contract portfolio with several multi-year agreements being secured or extended with Infrastructure, Airport and Authority customers, providing improved workload visibility and greater certainty over future activity.

Gross margin improved despite ongoing macro-economic pressures. The business remains resilient and continued to support reinvestment in fleet renewal, enhanced systems and operational improvements. These actions strengthened our capability and supported consistent service delivery across the group.

We continued to reinvest in ESG-driven improved practices, enhanced health and safety standards and compliance-led systems that increase operational efficiency and strengthen the value we deliver to customers, including improving their own reporting capability.

PRINCIPAL RISKS AND UNCERTAINTIES
Financial risk management
The group uses various financial instruments to manage the financial risk in the group. These include loans, cash, trade debtors and trade creditors that arise directly from its operations. The main purpose of these financial instruments is to raise finance for the group's operations.

Interest rate risk
The group finances its operations through a mixture of retained profits, hire purchase and finance lease agreements and bank borrowings. The group's exposure to interest rate fluctuations on its borrowings is managed by the use of both fixed and floating facilities.

Liquidity risk
The group seeks to manage liquidity risk by ensuring sufficient liquidity is available to meet its foreseeable needs and to invest cash assets safely and profitably. The directors review the group's cash projections on a regular basis to ensure the business has adequate liquidity and working capital.

Credit risk
In order to manage credit risk, the operational management team set limits for customers based on a combination of payment history and third-party credit references. Credit limits are reviewed on a regular basis in conjunction with debt ageing and collection history.

DEVELOPMENT AND PERFORMANCE
The group delivered a year of strong operational and commercial progress, successfully integrating and optimising the enlarged business following the Go Plant acquisition.

A key focus throughout the year was the consolidation of people, assets, systems and operating processes across the group. This resulted in improved fleet utilisation, enhanced operational resilience and greater consistency of service delivery across the national depot network.

The group continued its policy of substantial reinvestment, maintaining investment in fleet renewal, technology and organisational capability to support operational efficiency, customer service and long-term growth.

Further investment was also made in the group's leadership structure as part of its planned growth strategy, ensuring the business has the operational and commercial capability required to support its increasing scale and complexity.

The directors believe the successful integration of the Go Plant acquisition has established Sweeptech as a genuinely national business and positioned the group strongly for future growth.

Subsequent to the year end, the group acquired the business and trading assets of Brooking Hire Limited and Munihire Operated Limited. These acquisitions further strengthen the group's specialist capabilities within the infrastructure and airport sectors and support the next phase of the group's growth strategy.

KEY PERFORMANCE INDICATORS
In the year to 31 March 2026 the group achieved a turnover of £39,944,521 (2025 - £33,127,031) and an operating profit of £266,433 (2025 - operating loss of £167,477). Net assets were £1,276,948 (2025 - £1,253,224).

Report of the Directors
for the Year Ended 31 March 2026

The directors present their report with the financial statements of the company and the group for the year ended 31 March 2026.

PRINCIPAL ACTIVITY
The company operates within three main activities:

-Specialist waste management, covering: landfill site services, glycol recovery, onsite liquid waste
solutions, waste haulage, waste consultancy and materials recycling.
-A leading provider of road sweeping and gully waste recycling into local authority, commercial
and domestic customers.
-The provision of tanker and CCTV services covering: silt and sludge removal, desilting ponds,
lakes and watercourses, interceptor cleaning, gully cleaning, emergency flood support, grease
trap installation and cleaning, confined space working, blocked drain cleaning, foul waste
management, CCTV drainage and asset surveying.

DIVIDENDS
No dividends will be distributed for the year ended 31 March 2026.

RESEARCH AND DEVELOPMENT
The group has developed a patented wet waste receptor which is now in use across the group and with customers. The group continually looks at new technologies and processes to improve compliance, performance, etc.

FUTURE DEVELOPMENTS
There are no future developments to note.

STATEMENT OF DIRECTORS' RESPONSIBILITIES
The directors are responsible for preparing the Group Strategic Report, the Report of the Directors and the financial statements in accordance with applicable law and regulations.

Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and the group and of the profit or loss of the group for that period. In preparing these financial statements, the directors are required to:

- select suitable accounting policies and then apply them consistently;
- make judgements and accounting estimates that are reasonable and prudent;
- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.

The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's and the group's transactions and disclose with reasonable accuracy at any time the financial position of the company and the group and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and the group and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Opinion
We have audited the financial statements of Sweeptech Environmental Services Limited (the 'parent company') and its subsidiaries (the 'group') for the year ended 31 March 2026 which comprise the Consolidated Income Statement, Consolidated Other Comprehensive Income, Consolidated Balance Sheet, Company Balance Sheet, Consolidated Statement of Changes in Equity, Company Statement of Changes in Equity, Consolidated Cash Flow Statement and Notes to the Consolidated Cash Flow Statement, Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).

In our opinion the financial statements:
-give a true and fair view of the state of the group's and of the parent company affairs as at 31 March 2026 and of the group's loss for the year then ended;

Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the group in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the group's and the parent company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

In our opinion, based on the work undertaken in the course of the audit:
- the information given in the Group Strategic Report and the Report of the Directors for the financial year for which the financial statements are prepared is consistent with the financial statements; and
- the Group Strategic Report and the Report of the Directors have been prepared in accordance with applicable legal requirements.

Matters on which we are required to report by exception
In the light of the knowledge and understanding of the group and the parent company and its environment obtained in the course of the audit, we have not identified material misstatements in the Group Strategic Report or the Report of the Directors.

We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
- adequate accounting records have not been kept by the parent company, or returns adequate for our audit have not been received from branches not visited by us; or
- the parent company financial statements are not in agreement with the accounting records and returns; or
- certain disclosures of directors' remuneration specified by law are not made; or
- we have not received all the information and explanations we require for our audit.

As explained more fully in the Statement of Directors' Responsibilities set out on page five, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the directors are responsible for assessing the group's and the parent company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the group or the parent company or to cease operations, or have no realistic alternative but to do so.

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. - the group's internal controls have been discussed with management and understood prior to our audit testing. Internal controls have been tested through walkthrough testing, to assess whether controls are adequate, whether they are being followed, and whether irregularities and fraud are prevented.
- deficiencies in internal controls have been highlighted and explained to management, along with recommendations as to how deficiencies can be improved and the risk of irregularity and fraud occurrence minimised.
- representations have been provided by management that there were no identified cases of fraud or instances of non-compliance during or since the accounting period.
- substantive testing has been carried out to test the validity of transactions, with entries in the accounting system vouched to corresponding third party documentation and evidence of appropriate authorisation.

Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. 1. STATUTORY INFORMATION

Sweeptech Environmental Services Limited is a private company, limited by shares , registered in England and Wales. The company's registered number and registered office address can be found on the General Information page.

The presentation currency of the financial statements is the Pound Sterling (£).


2. ACCOUNTING POLICIES

Basis of preparing the financial statements
These financial statements have been prepared in accordance with Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006. The financial statements have been prepared under the historical cost convention as modified by the revaluation of certain assets.

Basis of consolidation
The group financial statements consolidate the financial statements of the company and its subsidiary undertakings drawn up to 31 March 2026.

Subsidiary undertakings are included using the acquisitions method of accounting. Under this method the group profit and loss account includes the results of subsidiaries from the date of acquisition to the date of sale outside the group in the case of disposals of subsidiaries. The purchase consideration has been allocated to the assets and liabilities on the basis of fair value at the date of acquisition.

Related party exemption
The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.

Transactions between group entities which have been eliminated on consolidation are not disclosed within the financial statements.

Significant judgements and estimates
In the application of the company’s accounting policies, the directors are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.

The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.

Turnover
Turnover is recognised at the fair value of the consideration received or receivable for services provided in the normal course of business, and is shown net of VAT.

Revenue from contracts for the provision of services is recognised by reference to the stage of completion.

Goodwill
Goodwill represents the excess of the cost of acquisition of unincorporated businesses over the fair value of net assets acquired. It is initially recognised as an asset at cost and is subsequently measured at cost less accumulated amortisation. Goodwill is considered to have a finite useful life and is amortised on a systematic basis over its expected life, which is ten years.

Intangible assets
Software costs, which relate to a new works management system and a new accounting package, will be amortised at 15% per annum on a straight line basis.

Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Plant and machinery - 50% on cost, 33% on cost, 20% on cost and 15% on cost
Fixtures and fittings - 50% on cost and 15% on cost
Motor vehicles - 20% on cost

Stocks
Stocks are stated at cost comprising of direct materials.

Financial instruments
The group has elected to apply the provisions of Section 11 'Basic Financial Instruments' and Section 12 Other Financial Instruments Issues' of FRS 102 to all of its financial instruments.

Basic financial liabilities
Basic financial liabilities, including creditors, bank and other loans, are recognised at transaction price including transaction costs

Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Amounts payable are classified as current liabilities.

Financial instruments are recognised in the companies' balance sheet when the companies' becomes party to the contractual provisions of the instrument.

Basic financial assets
Basic financial assets, which include debtors and cash and bank balances, are measured at transaction price including transaction costs.

Derivatives are not basic financial instruments. Derivatives are initially recognised at fair value on the date a derivative contract is entered into and are subsequently re-measured at their fair value. Changes in the fair value of derivatives are recognised in profit or loss in finance costs or finance income as appropriate, unless they are included in a hedging arrangement.

Classification of financial liabilities
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the group after deducting all of its liabilities.

Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Consolidated Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.

Current or deferred taxation assets and liabilities are not discounted.

Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date.

Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.

Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.

Hire purchase and leasing commitments
Leases are classified as finance leases whenever the terms of the lease transfer substantially all the risks and rewards of ownership to the lessees.

Assets held under finance leases are recognised as assets at the lower of the assets fair value at the date of inception and the present value of the minimum lease payments. The related liability is included in the balance sheet as a finance lease obligation. Lease payments are treated as consisting of capital and interest elements. The interest is charged to profit or loss so as to produce a constant periodic rate of interest on the remaining balance of the liability.

Rentals payable under operating leases, including any lease incentives received, are charged to profit or loss on a straight line basis over the term of the relevant lease.

Pension costs and other post-retirement benefits
The group operates a defined contribution pension scheme. Contributions payable to the group's pension scheme are charged to profit or loss in the period to which they relate.

9. PRIOR YEAR ADJUSTMENT

During the year, the directors identified two material errors relating to prior periods concerning assets within plant and machinery. The first error occurred in 2018, when £347,953 of conveyor belt costs (which has been funded directly by an insurer) were incorrectly excluded from the financial statements. The second error related to a specialist asset where an incorrect useful economic life was applied, resulting in the asset being fully depreciated and held at an incorrect residual value of £100,000. This specialist asset should have been depreciated over a 20-year useful economic life.

Consequently, these prior period errors have been corrected by restating the comparative balances. The effect of the restatement is an increase of £347,953 to plant and machinery cost, and a net reduction to accumulated depreciation of £279,846. This net reduction comprises the removal of £829,170 of previously miscalculated depreciation, offset by a £549,324 depreciation adjustment to align the asset with the 20-year useful economic life policy.

As a result, the opening balance of retained earnings at 1 April 2024 increased by £627,799, representing the net impact on the opening balance sheet. An additional depreciation charge of £58,856 has been recognised in the comparative year to reflect the updated policy, resulting in a cumulative net increase to retained earnings of £568,943 as at 31 March 2025.

Freehold land and buildings with a carrying amount of £2,500,000 were valued on 8 July 2021 by Crickmay Chartered Surveyors, on a market value basis. The directors consider that the carrying value of freehold land and buildings at the balance sheet date does not differ materially from that using fair value at the reporting date.

20. FINANCIAL INSTRUMENTS

The company utilises derivative financial instruments to manage its exposure to commodity price risks, as detailed below.

Derivative financial instruments - fuel hedges
The company utilises derivative contracts to hedge its exposure to price volatility affecting its future cash flows. As at 31 March 2026, the fair value of the fuel hedge derivative was an asset of £982,125 (2025: £nil), which is included within debtors falling due within one year. The fair value of the fuel hedge is based on the expected future pence per litre in excess of the fixed pence per litre agreed in the contract, across the remaining 9 months of the contract.

Post-balance sheet events
Subsequent to the year-end, following a de-escalation of tensions in the Middle East, global fuel prices have declined. This downturn is considered a non-adjusting post-balance sheet event. While this market movement does not affect the asset recognized at the balance sheet date, it is anticipated to result in lower net cash inflows from these instruments during the financial year ending 31 March 2027 than the fair value recorded at 31 March 2026.

24. CONTINGENT LIABILITIES

The company has provided an unlimited multilateral guarantee dated 8 May 2024 to the group bankers, in respect of its subsidiaries.

A legal assignment of contract monies is in place with the group's bankers.

A fixed and floating charge is in place over all the group's assets with the group's bankers.

A fixed charge is in place with the group's asset finance providers.

A fixed and floating charge is in place over the property owned by the group with the group's asset finance providers.

26. RELATED PARTY DISCLOSURES

During the year, the company made payments on behalf of Hello Sweeptech LLP, an entity under common ownership, to the value of £28,809 (2025 - £47,707) and also had payments made on its behalf by Hello Sweeptech LLP to the value of £49,379 (2025 - £nil). At the balance sheet date, the company was owed £157,821 (2025 - £132,835) by Hello Sweeptech LLP.

Also during the year, the company made payments of £170 (2025 - £1,540) on behalf of Municipal Waste Recycling Limited, a company with common ownership. At the balance sheet date, the company was owed £13,880 (2025 - £13,710).

At the balance sheet date, the company owed a shareholder £3,353 (2025: £9,290 owed to two shareholders). In addition, a shareholder owed the company £46,402 (2025: £nil), which includes £3,033 of interest charged during the year.

At the balance sheet date, a director owed the company £32,458, which includes £353 of interest charged during the year.

During the year dividends of £nil (2025 - £480,000) were paid to directors and directors' close family.

Amounts due to and from related parties are unsecured, repayable on demand and interest-free, except as noted above.

During the year, close family members of the directors received remuneration totalling £247,693 (2025 - £138,365).
