Notes to the Accounts
For the year ended 31 December 2025
1 General Information
Bidco Koru Limited is a private company limited by shares, incorporated in
2 Accounting policies
2.1 Basis of Preparation
The financial statements have been prepared for the year from 1 January 2025 to 31 December 2025.
The company is exempt from the requirement to prepare consolidated financial statements as it is a wholly owned subsidiary and its immediate parent, Topco Koru Limited which is incorporated in the United Kingdom.
2.2 Going Concern
At the time of approving the financial statements, the Company had Net Current Liabilities and Net Liabilities. The subsidiary business, Zestia Limited, is highly profitable and generates positive cash flows. The shareholder loan notes accrue interest charges annually but are not due for repayment, until the redemption of the loan in 2030. The directors therefore have a reasonable expectation that the company can meet its financial obligations for the foreseeable future and not less than 12 months from signing. Thus the directors continue to adopt the going concern basis of accounting in preparing the financial statements as detailed in the Director's Report.
2.3
Investments in subsidiaries, associates and joint ventures are measured at cost less any accumulated impairment losses.
2.4 Turnover
Turnover is measured at the fair value of the consideration received or receivable, net of discounts and value added taxes. Turnover includes revenue earned from the rendering of management services to the subsidiary company.
BIDCO KORU LIMITED | Company No. 12725988 |
2.5 Creditors
Short term creditors are measured at transaction price.
2.6 Financial liabilities
Loans and other financial liabilities are initially recognised at transaction price net of any transaction costs and subsequently measured at amortised cost determined using the effective interest method. Interest expense is recognised on the basis of the effective interest method and is included in interest payable and other similar expenses
2.7 Taxation
A current tax liability is recognised for the tax payable on the taxable profit of the current and past periods. A current tax asset is recognised in respect of a tax loss that can be carried back to recover tax paid in a previous period.
Deferred tax is recognised in respect of all timing differences between the recognition of income and expenses in the financial statements and their inclusion in tax assessments. Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Deferred tax is measured using the tax rates and laws that have been enacted or substantively enacted by the reporting date and that are expected to apply to the reversal of the timing difference, except for revalued land and investment property where the tax rate that applies to the sale of the asset is used. Current and deferred tax assets and liabilities are not discounted.
2.8 Dividends
Dividends are recognised as liabilities once they are no longer at the discretion of the Company.
2.9 Retirement benefits
For defined contribution schemes the amount charged to profit and loss is the contributions payable in the year. Differences between contributions payable in the year and contributions actually paid are shown as either accruals or prepayments.
2.10 Employee benefits
The cost of short term employee benefits are recognised as a liability and an expense, unless those costs are required to be recognised as part of the cost of fixed assets. The cost of any unused holiday entitlement is recognised in the period in which the employee's services are received.
BIDCO KORU LIMITED | Company No. 12725988 |
2.11 Judgements in applying accounting policies and key sources of estimation uncertainty
In preparing the financial statements, management are required to make judgements about the carrying value of assets and liabilities that are not readily available from other sources. Estimates and judgements are continually evaluated based on historical experience and other factors, including expectations of future events which are expected to be reasonable under the circumstances. The estimate and assumption that has a significant risk of causing a material adjustment to the carrying amounts of assets and liabilities within the next financial year is; the impairment of investments in subsidiaries.
