Compliance with accounting standards
The accounts have been prepared in accordance with the provisions of FRS 102 Section 1A Small Entities. There were no material departures from that standard.
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
The accounts have been prepared under the historical cost convention as modified by the revaluation of certain fixed assets.
The accounts are presented in £ sterling.
Tangible fixed assets and depreciation
Tangible assets are included at cost less depreciation and impairment. Depreciation has been provided at the following rates in order to write off the assets over their estimated useful lives:
Computer equipment
25% reducing balance
Convertible investment agreements and simple agreements for future equity are recognised when the Company becomes party to the contractual provisions of the instrument.
Management has assessed the contractual terms of the instruments in accordance with FRS 102 Sections 11, 12 and 22.
As settlement depends upon future financing or liquidity events and does not represent a fixed exchange of cash for a fixed number of the Company's own equity instruments, the instruments have been classified as financial liabilities. Included in the Creditors: amounts falling due after more than one year account are £161,158 of convertible investment agreements and simple agreements (2025: £0).
Financial liabilities are initially recognised at the transaction price and subsequently measured at amortised cost using the effective interest method unless required to be measured at fair value.
The Company has entered into convertible investment agreements that may result in the future issue of shares.
Management considered whether these arrangements meet the definition of equity under FRS 102 Section 22.
As settlement is contingent upon future financing or liquidity events and the agreements do not require settlement through the issue of a fixed number of equity instruments for a fixed amount of consideration, management concluded that classification as financial liabilities is appropriate.
