Trustees' Report
The trustees present their report and the financial statements for the year ended 31 August 2025.
Objectives and Activities
Aims and Objectives
The objectives of the charity was to save lives, to raise and advance awareness of Sudden Cardiac Death (SCD) by providing FREE screening services to young adults and the general public. In addition, the charity provided advocacy, advice and information to promote healthy lifestyle choices, Cardio-Pulmonary Resuscitation (CPR) education and Automated External Defibrillation (AED) awareness, in order to support its main charitable objectives. 
The charity had three main aims: 
1. Save lives: 
We operated a screening programme available to all communities throughout the North West of England. The aim of our screening programme was to detect any undiagnosed heart conditions, or its risk factors, in young people aged between 16 and 35. 
Every individual would undergo a blood pressure (BP) test, an ECG, an Echocardiogram (where necessary) and have a face to face consultation with a Consultant Cardiologist to discuss their test results, family history, lifestyle and any concerns - all within less than an hour. It is quick, non-invasive and the individuals receive their results immediately. Any abnormalities that were identified were discussed and individuals were channelled through their GP to hospital for further investigation and appropriate treatment. 
2. Raise and advance awareness of Sudden Cardiac Death:
The charity raised awareness of the conditions that could lead to Sudden Cardiac Death and the screenings that were delivered, gave people a greater choice to get their hearts screened.
We, together with all our supporters, raised awareness of the charity and the need for people to get heart checked at every available opportunity via our screening days, fundraising events, our website, the VSF newsletter and all our social media sites. We also raised awareness by speaking to various businesses and companies when we were pitching to be their Charity of the Year.  
3. Promoting healthier lifestyle choices and the allocation of free defibrillators in local communities
We Provided basic CPR (Cardio-Pulmonary Resuscitation) and AED (Automated External Defibrillation) awareness and education within local communities.
We achieved this by delivering life saving education, we have enabled the general public to help others in times of emergency 
We have also donated a number of defibrillators to local communities.
Public Benefit
After a very successful screening program which screened over 3000 people, finding 19 young people with life threatening undiagnosed heart conditions and also due to the ever changing circumstances of the Trustees we have decided to close the charity. 
The charity has also done some amazing work in raising awareness of sudden cardiac death in young people, educated people in how to confidently use heart defibrillators, make healthy lifestyle choices.
The Trustees have all agreed to donate the remaining funds to the charity, Southport Saviours who supply accessible defibrillators within local communities.
The Trustees were unanimous in their decision to donate to the above charity, keeping true to the Vital Signs Foundations mission's aims and their responsibilities, whilst at the same time honouring the wishes of our donors and their amazing efforts and generosity. 
The trustees confirm that they have complied with the requirements of Section 17 of the Charities Act 2011 to have due regard to the Charity Commission’s guidance on public benefit.

Financial Position
The statement of financial activities, show a surplus of unrestricted funds of £31,902 and overall net expenditure for the period was £2,140. The net fund balance is £33,692.

The charity is controlled by its governing document, the memorandum and articles of association and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.

Independent Examiner's Report to the Trustees of Vital Signs Foundation
I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 August 2025.
Responsibilities and Basis of Report
As the charity trustees of the Company (and also its directors for the purposes of company law), you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (“the 2006 Act”).
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act.
Independent Examiner's Statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:
  1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or
  2. the accounts do not accord with those records; or
  3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination; or
  4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

Notes to the Financial Statements
1. General Information
Vital Signs Foundation is a company limited by guarantee, incorporated in England & Wales, registered number 07353823 and registered charity number 1140141 . The registered office is C/O Southport Market Blinds, King Street, Southport, Merseyside, PR8 1JX.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared in accordance with the Charities SORP (FRS 102) "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)", Financial Reporting Standard 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
The charitable company is a Public Benefit Entity as defined by FRS 102.
2.2. Fund Accounting
Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
Restricted funds are to be used for specific purposes as laid down by the donor.
Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.
2.3. Incoming Resources
All incoming resources are included on the Statement of Financial Activities when the charity is legally entitled to the income and the amount can be quantified with reasonable accuracy. 
2.4. Resources Expended
Expenditure is accounted for on an accrual basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activites on a basis consistant with the use of resources. 
Grants offered subject to conditions which have not been met at the year end date are noted as a commitment but not accrued as expenditure. 
2.5. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

2.6. Cash and Cash Equivalents
Cash and cash equivalents are basic financial assets and include cash in hand and deposits held at call with banks, other short-term highly liquid investments that mature in no more than three months from the date of acquisition and are readily convertible to a known amount of cash with insignificant risk of change in value, and bank overdrafts.
2.7. Taxation
The charity is exempt from tax as all its income is charitable and applied for charitable purposes.
