For the year ending 31 August 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The company has taken advantage of section 444(1) of the Companies Act 2006 and opted not to deliver to the registrar a copy of the company's Profit and Loss Account.
All of the company's members have consented to the preparation of an Abridged Profit and Loss Account and an Abridged Balance Sheet for the year end 31 August 2025 in accordance with section 444(2A) of the Companies Act 2006.

Notes to the Abridged Financial Statements
1. General Information
Warwick House Developments Limited is a private company, limited by shares, incorporated in England & Wales, registered number 09321144 . The registered office is 114-118 Southampton Row, London, WC1B 5AA.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Going Concern Disclosure
The directors have not identified any material uncertainties related to events or conditions that may cast significant doubt about the company's ability to continue as a going concern.
2.3. Turnover
Turnover for the year comprises rental income from the letting of Jesmond Apartments and is recognised on an accruals basis.
2.4. Investment Properties
All investment properties are carried at fair value determined annually and derived from the current market rents and investment property yields for comparable real estate, adjusted if necessary for any difference in the nature, location or condition of the specific asset. No depreciation is provided for. Changes in fair value are recognised in the profit and loss account.
2.5. Taxation
The tax expense for the period comprises of current and deferred tax. Tax is recognised in the statement of comprehensive loss, except that a change attributable to an item of income or expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.

Deferred balances are recognised in respect of all timing differences that have originated but not reversed by the statement of financial position date, except:

• The recognition of deferred tax assets is limited to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits; and

• Any deferred tax balances are reversed if and when all conditions for retaining associated tax allowances have been met

Deferred income tax is determined using tax rates and laws that have been enacted or substantively enacted by the reporting date.
2.6. Judgements in applying accounting policies and key sources of estimation uncertainty
In preparing these financials statements, the directors have had to make the following judgements: 
Determine whether there are indicators of impairment of the company’s tangible assets, Factors taken into consideration in reaching such a decision include the economic viability and expected future financial performance of the asset and where it is a component of a larger cash generating unit, the viability and expected future performance of that unit. 
Other key sources of estimation uncertainty: 
Valuation of investment property (see note 4)
The Company carries its investment property at fair value, with changes being recognized in the statement of comprehensive income. The valuation of the Company's investment property was determined by the Directors based on the report prepared by Colliers International Property Consultants Limited, an independent valuer, with a valuation date of 1 April 2025, and consideration was given to reflect the average occupancy level of the property for the year and any changes in market conditions between the valuation date and the year-end of 31 August 2025. The Directors assess the carrying value at each reporting date to ensure that its carrying value is adjusted to fair value.

Included within the Profit and Loss account reserve at 31 August 2025 is an amount of £3,785,818 (2024: £2,938,450) representing cumulative unrealised fair value gains on investment properties, net of associated deferred tax.
In accordance with the Companies Act 2006, this portion of the reserve is unrealised and is non-distributable.
7. Ultimate Parent Undertaking and Controlling Party
On 5 June 2025 PandonCo Limited, a company registered in Jersey with company number 158138, aquired the entire issued share capital of the company. No person holds a controlling interest in PandonCo Limited.
8. Audit Information
The auditor's report on the accounts of Warwick House Developments Limited for the year ended 31 August 2025 was unqualified.
The auditor's report was signed by Statutory Auditor.
