The directors present their annual report and financial statements for the year ended 30 November 2025.

Principal activities

The principal activity of the company was the running of an office / studio rental space, event production and the operation of a members club.

In order to assist you to fulfil your duties under the Companies Act 2006, we have prepared for your approval the financial statements of ALL IS JOY (UK) LTD for the year ended 30 November 2025 which comprise, the balance sheet and the related notes from the company’s accounting records and from information and explanations you have given us.

This report is made solely to the board of directors of ALL IS JOY (UK) LTD, as a body, in accordance with the terms of our engagement letter dated 1 August 2025. Our work has been undertaken solely to prepare for your approval the financial statements of ALL IS JOY (UK) LTD. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than ALL IS JOY (UK) LTD and its board of directors as a body, for our work or for this report.

It is your duty to ensure that ALL IS JOY (UK) LTD has kept adequate accounting records and to prepare statutory financial statements that give a true and fair view of the assets, liabilities, financial position and profit of ALL IS JOY (UK) LTD. You consider that ALL IS JOY (UK) LTD is exempt from the statutory audit requirement for the year.

We have not been instructed to carry out an audit or a review of the financial statements of ALL IS JOY (UK) LTD. For this reason, we have not verified the accuracy or completeness of the accounting records or information and explanations you have given to us and we do not, therefore, express any opinion on the statutory financial statements.

For the financial year ended 30 November 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.

These financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.

The directors of the company have elected not to include a copy of the profit and loss account within the financial statements.true

Accounting policies
Company information

ALL IS JOY (UK) LTD is a private company limited by shares incorporated in England and Wales. The registered office is First Floor, 14 - 15 Berners Street, London, W1T 3LJ.

1.1
Accounting convention

These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.

The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.

Turnover

Turnover is recognised at the fair value of the consideration received or receivable in rental income, food & beverage sales and membership fees provided in the normal course of business, and is shown net of VAT and other sales related taxes. The fair value of consideration takes into account trade discounts, settlement discounts and volume rebates.

 

When cash inflows are deferred and represent a financing arrangement, the fair value of the consideration is the present value of the future receipts. The difference between the fair value of the consideration and the nominal amount received is recognised as interest income.

Tangible fixed assets

Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.

Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:

Fixtures, fittings and equipment
25% reducing value
Motor vehicles
15% reducing value

The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is credited or charged to profit or loss.

Stocks

Stocks are stated at the lower of cost and estimated selling price less costs to complete and sell. Cost comprises direct materials and, where applicable, direct labour costs and those overheads that have been incurred in bringing the stocks to their present location and condition.

 

Stocks held for distribution at no or nominal consideration are measured at the lower of cost and replacement cost, adjusted where applicable for any loss of service potential.

Financial instruments

The company only had basic financial instruments.

Basic financial assets

Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method.

Basic financial liabilities

Basic financial liabilities, including creditors, bank loans, loans from fellow group companies and preference shares that are classified as debt, are initially recognised at transaction price unless the arrangement constitutes a financing transaction.

Post balance sheet events

Subsequent to the year end, on 31st March 2026 , the company changed its name from All is Joy (UK) Limited to All is Joy Studios Limited. This change does not affect the financial position or results for the year ended 30 November 2025.

Contingent liabilities

The company has a potential liability in respect of business rates relating to 75 Dean Street for the period from April 2023 to the present. The amount payable, if any, is currently uncertain, and discussions with the relevant authority are ongoing.

 

Based on the information currently available, the directors consider that it is probable that this liability will be reduced or written off. Accordingly, no provision has been recognised in these financial statements.

Contingent Assets

During the year, the company was awarded legal costs of £9,090 pursuant to a High Court order dated 8 September 2025. At the balance sheet date, the amount remained outstanding. As receipt of the amount was not considered virtually certain at the year end, no asset has been recognised in these financial statements.

Judgements and key sources of estimation uncertainty

In the application of the company’s accounting policies, the directors are required to make judgements, estimates and assumptions about the carrying amount of assets and liabilities that are not readily apparent from other sources. The estimates and associated assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates.

 

The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised where the revision affects only that period, or in the period of the revision and future periods where the revision affects both current and future periods.
