For the year ending 31 December 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
The company has taken advantage of section 444(1) of the Companies Act 2006 and opted not to deliver to the registrar a copy of the company's Profit and Loss Account.

Notes to the Financial Statements
1. General Information
Wonderborn Distribution Ltd is a private company, limited by shares, incorporated in England & Wales, registered number 11414606 . The registered office is Level 2 Spectrum Building, Bond Street, Bristol, BS1 3LG.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Turnover
Revenue represents amounts receivable from the licensing and distribution of television programming and related rights, net of value added tax and other taxes.
The Company acts as principal in acquiring and licensing distribution rights and accordingly recognises gross licence revenue.
Revenue from licence agreements is recognised when the Company’s contractual performance obligations have been satisfied. For the majority of licence agreements this occurs when the licensed content has been delivered to the customer, all material delivery requirements have been fulfilled, the licence has commenced and the customer is able to exploit the licensed rights. Revenue is recognised at this point irrespective of the period over which the customer is entitled to exercise the licensed rights or payment is received
Amounts invoiced or received in advance of satisfying the Company’s contractual performance obligations are recognised as deferred income.
2.3. Foreign Currencies
Monetary assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate ruling on the date of the transaction. Exchange differences are taken into account in arriving at the operating profit.
2.4. Cost of Sales
Cost of sales comprises royalties and commissions payable to third-party rights holders together with direct costs incurred in preparing, adapting, localising and delivering programme content to customers.
Royalties and commissions are recognised when the Company enters into a legally binding licence agreement with a customer giving rise to the related obligation. Such costs are recognised in the same accounting period as the associated licence revenue. Where settlement of royalties or commissions is contractually deferred until receipt of payment from the customer, the liability is recognised when incurred and remains within creditors until payment becomes due.
3. Average Number of Employees
The Company’s activities are carried out by personnel employed by its parent undertaking. The costs of these services are recharged to the Company under intercompany service arrangements. Accordingly, the average number of employees, including directors, during the year employed under contracts of service was NIL (2024: 1)

Included within Prepayments and accrued income is £83,506 (2024: £65,307) falling due after more than one year.
This balance principally comprises amounts receivable under television programme licence agreements where the Company’s performance obligations have been satisfied and revenue has therefore been recognised, but where the contractual payment terms provide for settlement by customers in instalments over periods extending beyond twelve months from the balance sheet date.

Included within accruals are royalties and commissions payable to rights holders in respect of licence agreements completed before the year end. Under the terms of the relevant agreements, settlement generally becomes payable following receipt of the related licence fees from customers.
