| The director presents the strategic report for the year ended 31 December 2025. |
| REVIEW OF BUSINESS |
| During the year ended 31 December 2025, the Company achieved turnover of £24.8m (2024: £15.5m), an increase of approximately 60%. Gross margin improved to 12.82% (2024: 12.38%), and net margin improved to 2.97% (2024: negative 2.51%). |
| Turnover growth was driven principally by higher order volumes from the Company's core customers. The Company's design capability, the strength of its strategic relationships with these customers, and its ability to meet their requirements for product design, quality and delivery supported an increase in the volume of business placed with it during the year. The Company's continued investment in sustainable materials, products and supply chain initiatives further supported this growth, enabling it to meet the increasingly demanding sourcing requirements of its key customers. The Company continues to deepen its strategic relationships with existing core customers while actively developing new customer opportunities. |
| The improvement in gross margin reflected more effective cost management and closer coordination across the supply chain. The Company also maintained tight control over its operating expenses, which grew at a significantly slower rate than turnover. The combination of higher turnover improved gross margin and disciplined cost control enabled the Company to return to profitability during the year. Inventory turnover also improved compared with the prior year. As the business expanded, the Company maintained a strong focus on optimising inventory and supply chain management. Through close collaboration with suppliers and the effective use of global supply chain resources, the Company has been able to allocate resources more flexibly and to improve the alignment between inventory levels and customer demand, contributing to improved inventory turnover and greater overall operational efficiency. |

| PRINCIPAL RISKS AND UNCERTAINTIES |
| The director considers the following to be the principal risks and uncertainties facing the Company: |
| Currency risk |
| Revenue and expenses of the Company are mainly denominated in USD and GBP. As a result, the company is subject to risk of foreign currency movements. It is the company's policy to monitor this risk and to take necessary steps to minimise any adverse effects. |
| Market risk |
| As the competition amongst value retailers is increasing, profit margins are under constant pressure. However, the company mitigates this risk through strengthening strategic partnerships with core customers, broadening its customer base, and diversifying into higher-value-added products. |
| Inflationary Pressure |
| Continued rise of global material cost and increased cost of logistics services are exerting significant pressure on fashion garment industry. The company is working along with its suppliers and customers towards providing possible solutions and improving efficiency in supply chain to mitigate its impact. |
| Market and consumer demand |
| This refers to the uncertainty in forecasting customer demand and market conditions. Economic shifts, emerging trends and evolving consumer preferences create uncertainty in forward planning. |
| FUTURE DEVELOPMENTS |
| Looking ahead, the Company will continue to build on its position at the forefront of its markets, its ability to respond quickly and flexibly to changes in consumer trends and market conditions, and its design and product development capabilities. Through deeper strategic collaboration with its core customers, the Company intends to broaden its product offering. It will also continue to draw on the diversified, vertically integrated global supply chain network of its parent company to improve overall supply chain efficiency. Together, these initiatives are intended to strengthen the Company's overall capabilities and to support its continued sustainable development. |

| PRINCIPAL ACTIVITY |
| The principal activity of the company in the year under review was that of Starlight U.K. Corporation Limited is a global design and manufacturing business specialising in apparel, accessories and home products. The Company acts as a key operating base for its parent company in the UK and European markets, providing innovative design, comprehensive product development, and reliable sourcing and production services to leading fashion retailers in the UK, the EU and other major international markets. |
| The Company's business model spans the full value chain, from initial design and product development through raw material procurement and manufacturing to final delivery. This integrated approach enables the Company to respond efficiently and flexibly to changes in consumer trends and market conditions. |
| Sustainability is embedded throughout the Company's operations, including the application of circular design principles, the sourcing of renewable and sustainable materials, and the implementation of measures to reduce environmental impact. As the Company's customers are subject to increasingly stringent environmental and product sustainability regulation, their sourcing requirements have evolved accordingly. These capabilities enable the Company to supply products that meet those requirements, while enhancing the long-term resilience, efficiency and sustainability of its supply chain. |

| Company law requires the director to prepare financial statements for each financial year. Under that law the director has elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the director must not approve the financial statements unless she is satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period. In preparing these financial statements, the director is required to: |

| We have audited the financial statements of Starlight U.K. Corporation Limited (the 'company') for the year ended 31 December 2025 which comprise the Income Statement, Other Comprehensive Income, Balance Sheet, Statement of Changes in Equity and Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice). |
| In our opinion the financial statements: |
| - | give a true and fair view of the state of the company's affairs as at 31 December 2025 and of its profit for the year then ended; |
| - | have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and |
| - | have been prepared in accordance with the requirements of the Companies Act 2006. |
| Basis for opinion |
| We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. |
| Conclusions relating to going concern |
| In auditing the financial statements, we have concluded that the director's use of the going concern basis of accounting in the preparation of the financial statements is appropriate. |
| Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue. |

| - | adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or |

| As explained more fully in the Statement of Director's Responsibilities set out on page five, the director is responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the director determines necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. |
| In preparing the financial statements, the director is responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the director either intends to liquidate the company or to cease operations, or has no realistic alternative but to do so. |

| Auditors' responsibilities for the audit of the financial statements |
| Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. |
| The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below: |
| Discussions with and enquiries of management and those charged with governance were held with a view to identifying those laws and regulations that could be expected to have a material impact on the financial statements. During the engagement team briefing, the outcomes of these discussions and enquiries were shared with the team, as well as consideration as to where and how fraud may occur in the entity. |
| The following laws and regulations were identified as being of significance to the entity: |
| - Those laws and regulations considered to have a direct effect on the financial statements include UK financial reporting standards, Company Law, and Tax. |
| - Those laws and regulations for which non-compliance may be fundamental to the operating aspects of the business and therefore may have a material effect on the financial statements include General Data Protection Regulation (GDPR), Health and Safety at Work Act 1974, Import & Export Regulations and the Textile Products (Labelling and Fibre Composition) Regulations 2012. |
| Audit procedures undertaken in response to the potential risks relating to irregularities (which include fraud and non-compliance with laws and regulations) comprised of: enquiries of management and those charged with governance as to whether the entity complies with such laws and regulations; enquiries with the same concerning any actual or potential litigation or claims; inspection of relevant legal correspondence; testing the appropriateness of entries in the nominal ledger, including journal entries; reviewing transactions around the end of the reporting period; and the performance of analytical procedures to identify unexpected movements in account balances which may be indicative of fraud. |
| No instances of material non-compliance were identified. However, the likelihood of detecting irregularities, including fraud, is limited by the inherent difficulty in detecting irregularities, the effectiveness of the entity's controls, and the nature, timing and extent of the audit procedures performed. Irregularities that result from fraud might be inherently more difficult to detect than irregularities that result from error. As explained above, there is an unavoidable risk that material misstatements may not be detected, even though the audit has been planned and performed in accordance with ISAs (UK). |

| 2. | ACCOUNTING POLICIES |
| Basis of preparing the financial statements |
| Going concern |
| The company meets its day to day working capital requirements through its bank reserve and financial support from its immediate parent company, who confirmed to support the company for at least 12 months from the date of signing the financial statements. Based on this, the director has concluded that the company has adequate resources to continue in its operational existence. The company therefore continues to adopt the going concern basis in preparing its financial statements. |
| Financial Reporting Standard 102 - reduced disclosure exemptions |
| The company has taken advantage of the following disclosure exemptions in preparing these financial statements, as permitted by FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland": |
| • | the requirements of Section 7 Statement of Cash Flows; |
| • | the requirement of paragraph 33.7. |
| Turnover |
| Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. |
| The company’s turnover is derived from the sale of clothing and footwear. Revenue is recognised at the point in time when the customer obtains control of the goods, which occurs upon delivery. |
| Tangible fixed assets |
| Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended. |
| Depreciation is provided at the following annual rates in order to write off the cost less estimated residual value of each asset over its estimated useful life. |
| Computer equipment - 20% straight line with residual value rate of 5% |
| Fixtures and fittings - 33% straight line with residual value rate of 3% |

| Stocks |
| Stocks are valued on a weighted average cost basis. Cost includes all direct expenditure and other attributable costs incurred in bringing inventories to their present location and condition. |
| At each balance sheet date, stocks are assessed for impairment. If stock is impaired, the carrying amount is reduced to its selling price less costs to complete and sell. The impairment loss is recognised immediately in profit or loss. |

| Financial instruments |
| The company has elected to apply the provisions of Section 11 'Basic Financial Instruments' to all of its financial instruments. |
| Financial instruments are recognised when the company becomes party to the contractual provisions of the instrument. |
| Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously. |
| Basic financial assets |
| Basic financial assets, which include trade and other receivables and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the financial asset is measured at the present value of the future receipts discounted at a market rate of interest. |
| Other financial assets, including investments in equity instruments which are not subsidiaries, associates or joint ventures, are initially measured at fair value, which is normally the transaction price. |
| Classification of financial liabilities |
| Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities. |
| Basic financial liabilities |
| Basic financial liabilities, including trade and other payables, and loans from group undertakings, are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. |
| Debt instruments are subsequently carried at amortised cost, using the effective interest method. |
| Share capital |
| Financial instruments issued by the company are classified as equity only to the extent that they do not meet the definition of a financial liability or financial asset. |
| The company's ordinary shares are classified as equity instruments. |
| Taxation |
| Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. |
| Current or deferred taxation assets and liabilities are not discounted. |
| Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |

| Deferred tax |
| Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date. |
| Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference. |
| Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. |
| Foreign currencies |
| Assets and liabilities in foreign currencies are translated into sterling at the rates of exchange ruling at the balance sheet date. Transactions in foreign currencies are translated into sterling at the rate of exchange ruling at the date of transaction. Exchange differences are taken into account in arriving at the operating result. |
| Leasing commitments - company as lessee |
| Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease. |
| 3. | CRITICAL ACCOUNTING JUDGEMENTS AND KEY SOURCES OF ESTIMATION UNCERTAINTY |
| The preparation of the financial statements requires management to make judgements, estimates and assumptions that affect the application of the accounting policies and reported amounts of assets and liabilities, revenue and expenses. Actual results may differ from these estimates. |
| Estimates and underlying assumptions are continually evaluated and are based on historical experience and other factors, including expectations of future events that are reasonable under the circumstances. Revisions to accounting estimates are recognised in the year in which the estimates are revised and in any future years affected. |
| The director considers no critical judgements or key sources of estimation uncertainty applied in the preparation of these financial statements. |

| OECD Pillar Two model rules |
| The company is within the scope of the OECD Pillar Two model rules. Pillar Two legislation has been enacted in the UK, the jurisdiction in which the entity is incorporated, and is effective in 2024. |
| Under the legislation, the company is liable to pay a top-up tax in the UK for the difference between the Globe effective tax rate for each jurisdiction and the 15% minimum rate. In addition, top-up taxes are payable locally where qualifying domestic minimum top-up taxes have been legislated and are in effect. |
