3. Contribution of intangible assets to subsidiary

On 31 October 2025, the Company contributed certain intangible assets comprising the Company's trademark and software development/source code to its wholly owned Spanish subsidiary, RegDoor Innovación (S.L.), as a capital contribution.

The assets contributed had an aggregate carrying value of £79,997.99, comprising:

• Trademark: £3,446.02

• Software development/source code: £76,551.97

Following the contribution, legal and economic ownership of these assets was transferred to the Spanish subsidiary, where the assets are recognised in the subsidiary's financial statements.

Accordingly, the intangible assets have been derecognised from the Company's balance sheet. The carrying value of £79,997.99 has been reflected as an increase in the Company's investment in its subsidiary, representing the Company's capital contribution to RegDoor Innovación.

The transaction has been accounted for as a capital contribution to the subsidiary and does not give rise to a gain or loss in the Company's profit and loss account.

3. Contribution of intangible assets to subsidiary - continued

The transaction was approved via the Sole Shareholder resolution of RegDoor Innovación dated 31 October 2025, executed by the Company's authorised representatives.

For the period ending 31 December 2025 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.

The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

These accounts have been prepared in accordance with the micro-entity provisions and delivered in accordance with the provisions applicable to companies subject to the small companies regime.
