The director is responsible for preparing the annual report and the financial statements in accordance with applicable law and regulations.
Company law requires the director to prepare financial statements for each financial year. Under that law the director has elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law, the director must not approve the financial statements unless he is satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period.
In preparing these financial statements, the director is required to:
select suitable accounting policies and then apply them consistently;
make judgements and accounting estimates that are reasonable and prudent; and
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.
The director is responsible for keeping adequate accounting records that are sufficient to show and explain the company’s transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. He is also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

For the financial year ended 31 December 2025 the company was entitled to exemption from audit under section 480 of the Companies Act 2006 relating to dormant companies.
The director acknowledges his responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of financial statements.
The member has not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.
These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

Accounting policies
Company information
Thames Petroleum (Scotland) Limited is a private company limited by shares incorporated in England and Wales. The registered office is Connect House 133-137, Alexandra Road, Wimbledon, London, SW19 7JY.

Basis of preparation
These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view as applicable to companies subject to the small companies regime.
The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.
The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.
This company is a qualifying entity for the purposes of FRS 102, being a member of a group where the parent of that group prepares publicly available consolidated financial statements, including this company, which are intended to give a true and fair view of the assets, liabilities, financial position and profit or loss of the group. The company has therefore taken advantage of exemptions from the following disclosure requirements:
the requirements of Section 4 Statement of Financial Position paragraph 4.12(a)(iv);
Section 7 ‘Statement of Cash Flows’: Presentation of a statement of cash flow and related notes and disclosures;
the requirements of Section 3 Financial Statement Presentation paragraph 3.17(d); and
Section 33 ‘Related Party Disclosures’: Compensation for key management personnel.
The financial statements of the company are consolidated in the financial statements of Highland Fuels (Investments) Limited. These consolidated financial statements are available from its registered office, 2 Marischal Square, Broad Street, Aberdeen, Scotland, AB10 1DQ.

Financial commitments, guarantees and contingent liabilities
Thames Petroleum (Scotland) Limited has entered into guarantee in respect of each company's indebtedness to the Royal Bank of Scotland Plc.
Highland Fuels Limited and Thames Petroleum (Scotland) Limited have entered into cross guarantees in respect of each company's indebtedness to Royal Bank of Scotland Finance Limited.

The immediate parent company is Highland Fuels Limited, a company registered in Scotland.
Highland Fuels Limited is the parent undertaking of the smallest group, of which Thames Petroleum (Scotland) Limited is a member, and for which group the financial statements are drawn up.
Highland Fuels (Investments) Limited is the parent undertaking of the largest group, of which Thames Petroleum (Scotland) Limited is a member, and for which group financial statements are drawn up.
