These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.
For the 13 month period ended 31 December 2025, the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit of its accounts for the 13 month period ended 31 December 2025 in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of accounts.
The directors acknowledge their responsibilities for ensuring that the company keeps accounting records which comply with Sections 386 and 387 of the Companies Act 2006 and for preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of each financial period and of its profit or loss for each financial period in accordance with the applicable financial reporting framework.

1. Summary of significant accounting policies
1.1 General information and basis of preparation
The financial statements comprising the Balance Sheet and the related notes constitute the individual financial statements of VERIDIEN CONSULTING PARTNERS LIMITED for the financial period ended 31 December 2025.
VERIDIEN CONSULTING PARTNERS LIMITED is a private company limited by shares, registered in England and Wales. The address of the registered office and registration number is given in the company information on page 2 of these financial statements.
These financial statements have been prepared in accordance with FRS 102 the Financial Reporting Standard applicable in the United Kingdom and the Republic of Ireland as adapted by Section 1A of FRS 102 and the Companies Act 2006.
The financial statements are prepared in sterling (£) which is the functional currency of the company and rounded to the nearest £.
The financial statements are prepared on a going concern basis and comply with the financial reporting standards of FRC including FRS102, "The Financial Reporting Standards applicable in the UK and Ireland" as adapted by Section 1A.
1.2 Turnover and other income
Turnover represents amounts receivable for professional consulting and advisory services provided by the company, stated net of VAT and any applicable discounts.
Revenue from consulting services is recognised as the services are rendered and when the Company is entitled to consideration for those services. Revenue arising from fixed monthly retainer arrangements is recognised on a straight-line basis over the period in which the related services are provided. Revenue from project-based engagements is recognised by reference to the stage of completion at the reporting date, provided the outcome of the engagement can be measured reliably.
Amounts invoiced or received in advance of the related services being provided are recognised as deferred income and released to turnover as the services are delivered.
Interest and dividends receivable
Interest income is recognised using the effective interest method and dividend income is recognised as the company's right to receive payment is established.

Intangible assets acquired separately from a business are capitalised at cost.

1.4 Debtors and creditors receivable / payable within one year
Debtors and creditors with no stated interest rate and receivable or payable within one year are recorded at transaction price. Any losses arising from impairment are recognised in the profit and loss account in other administrative expenses.
All borrowings by the company are initially recorded at the amount borrowed less transaction costs. Subsequently, borrowings are stated at the transaction price minus transaction costs not yet recognised and repayments plus cumulative interest expenses incurred.
Loans and borrowings are classified as current assets or liabilities unless the borrower has an unconditional right to defer settlement of the liability for at least twelve months after the financial year end date.
When employees have rendered service to the company, short-term employee benefits to which the employees are entitled are recognised at the undiscounted amount expected to be paid in exchange for that service.
Short term benefits, including holiday pay, are recognised as an expense in the period in which employees have become entitled to the benefits as a result of service rendered to the company.
The company operates a defined contribution plan for the benefit of its employees. Contributions are expensed as they become payable.
The Company operates an Enterprise Management Incentive ("EMI") share option scheme for certain employees. The scheme is accounted for as an equity-settled share-based payment arrangement. The fair value of options granted is recognised as an employee expense over the vesting period, with a corresponding credit to equity in accordance with FRS 102 Section 26.
During the period, the Company recognised a share-based payment expense of £87 (2024: £Nil) in relation to options granted under the EMI scheme. At the year end, options over 450 ordinary shares (2024: Nil) were outstanding.

The financial statements have been prepared on the basis of accounting policies applicable to a going concern. This basis presumes that funds will be available to finance future operations and that the realisation of assets and settlement of liabilities, contingent obligations and commitments will occur in the ordinary course of business.
The company reported a net current liability position of £44,219 at 31 December 2025 and incurred a loss of £43,422 during its first 13-month period of trading. A significant proportion of the company's liabilities at the reporting date comprised funding provided by its shareholders. The shareholders have indicated their intention to continue providing financial support to the company and not to seek repayment of amounts due where this would adversely affect the company's ability to meet its obligations as they fall due.
The directors have considered the company's financial position, expected trading activities and forecast cash requirements. Having regard to the continued financial support of the shareholders and the company's expected future trading, the directors have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. Accordingly, the directors continue to adopt the going concern basis in preparing the financial statements.
8. Directors' loans, credits and guarantees
During the period, the directors, who are also shareholders of the company, provided funding to the company for working capital purposes. At 31 December 2025, £60,457 was due to the directors. The amounts are unsecured, interest-free and have no fixed terms of repayment.
